Requirements:
- JD or LLM from any US university.
- Admitted to practice law in any State within the continental US.
- 10 years’ experience minimum drafting/negotiating Real Estate contracts across the United States, including but not limited to leases, SNDAs, etc.
- Based in Dallas, Texas.
- PC skills (Microsoft Office) as well as the ability to navigate and use business systems software.
- Excellent communication skills both verbal and written.
- Problem solving, multi-tasking aptitude and analytical skills, with attention to detail and ability to meet deadlines.
- English and Spanish proficiency is preferable.
Summary of Job Description & Key Responsibilities:
The Real Estate Attorney serves as the point of contact for legal Real Estate and construction related matters, including: drafting of leases, follow up of obligations under the lease agreements, drafting contracts, coordinating the handling of issues with landlords (mostly related to construction), support in the permitting process, among others. Serves as liaison between the different company departments and vendors (like insurance) involved in construction and development matters and the Legal Department on a day-to-day basis. The position also interacts with other various corporate departments to help resolve legal issues, sometimes with coordination from outside counsel.
The position includes but is not limited to below key responsibilities:
- Review, negotiation, closing and renewal of lease agreements of Campero locations across the US.
- Review, redline, and coordinate execution of construction and development contracts. Prepare, coordinate execution and notify third party of renewals or termination notices, when applicable.
- Contract management of development and construction related contracts, including leases, renewals, vendor contracts, etc.
- Serve as the initial point of contact for internal field operations personnel to determine whether an issue should be escalated to the legal department for further handling/analysis. This role will possess the necessary legal acumen to limit the number of escalations.
- Provide detailed review of contractual documentation prior to submittal to third parties and/or internally to prevent potential legal issues from arising. Track and develop issues list identifying potential legal problems in contract.
- Manage and provide initial response to requests on contract issues raised by other team members, including but not limited to Construction, Development, Transformation, etc.
- Identifying and coordinating certain legal issues with the BP. Prepare summary statement capturing issues for legal review.
- Coordinate, gather and track all pertinent information and documents as they relate to third party relationships, litigation, or any other issues. Maintain database for sites that contain summary of legal issues.
- Administration and update databases with lease information.
- Draft correspondence, including Notice of Termination, Notice of Non-Renewal, Agreement extensions as well as other documents, and prepare and issue legal notification to landlords in the manner and timing legally required.
- Research requests from other teams, the Legal BP or other teams within the company.
- Prepare and distribute closing index and binders; complete and organize corporate files; disseminate information and documents within the company; assist in transition matters
- Provide support to Legal BP in various other corporate, operations, transactional and other legal matters.
