Role Overview:

A large heavy civil construction company is looking for a Project Counsel to join their legal team in Farmingdale, NY. This person will play a critical role in ensuring project compliance, reviewing and negotiating contracts, and providing legal support to project teams. The Project Counsel will report directly to the General Counsel and will be responsible for handling a wide range of legal matters related to contracts, purchase orders, rental agreements, and non-disclosure agreements (NDAs) to ensure smooth and legally compliant project operations. Additionally, you will be involved in corporate policy matters and legal research, contributing to the overall success of the firm.

Day-to-Day Responsibilities:

- Review and analyze contracts, subcontract agreements, partnership agreements, vendor agreements, purchase orders, rental agreements, and NDAs related to all construction projects and facilities.

- Collaborate with project owners, vendors and subcontractors to ensure compliance with project requirements and applicable laws.

- File claims and manage procedures laid out in contracts, assisting project teams in drafting and sending necessary notices.

- Train and mentor project teams in contract compliance matters, providing guidance and support throughout the project lifecycle.

- Participate in negotiations with vendors and subcontractors, assisting General Counsel (negotiator) or independently handling certain negotiations when required.

- Perform legal research and draft corporate governance agreements, including corporate resolutions and bylaws.

- Assist in litigation matters on a limited scale, such as gathering documents and responding to subpoenas.

Must-Haves:

- 2+ years of corporate legal experience, which may include professional experience between undergraduate and law school, either in a law firm, in-house counsel or as a paralegal

- Professionalism and ability to interact effectively with various departments, vendors, internal and external parties.

- Strong ability to work independently and handle responsibilities with minimal supervision.

- Excellent writing skills, demonstrated by providing a legal writing sample.

- Experience in reviewing and negotiating contracts, including transactional work and day-to-day contract management.

- Proficient in conducting independent legal research and understanding complex legal concepts.

- Ability to work and participate in a team environment

- NY Bar License

Plusses:

- Prior experience in the construction industry, providing valuable insights into project-specific legal matters.

- Basic familiarity with litigation processes, including document gathering and response to subpoenas.
