Job Description
Mandate:
Corporate Paralegal providing support to the wholesale/capital markets business, specifically the TD Cowen Special Situations Sales and Trading business. This business covers trades in special situations, private equity, and claims. The position will provide support to other members of the Legal Group as well as directly to business groups and other support and control functions. The optimal candidate will have paralegal experience at a law firm or in-house with a financial services company.
Primary responsibilities include:
  • Draft trade documentation and handle aspects of trade settlement, including related administrative tasks
  • Handle confidential documents and correspondence
  • Administer data rooms
  • Support requests from management and traders
  • Maintain and organize files
  • Assist with ad-hoc projects as needed
Qualifications/Competencies/Accreditation:
To fulfill the responsibilities of the position, the candidate should have a bachelor's degree and a minimum of 3 years' paralegal experience in a law firm or in-house legal department. The candidate should have a high degree of integrity and sensitivity to handle confidential information as well as strong analytical and organizational skills with close attention to detail and the ability to prioritize, be flexible and change direction as appropriate. Excellent communication skills are key to this role as is the ability to manage multiple priorities in a fast-based work environment and follow through on commitments. The candidate should be self-motivated, team-oriented, proactive and demonstrate initiative. Experience with contract drafting a plus. Proficiency in Microsoft Word, PowerPoint, Excel, and Outlook is required.
Work Location: The position is based in Stamford, CT, and/or New York, NY with a hybrid in office/remote work model.

Job Requirements
Education & Experience:
  • Undergraduate degree and/or relevant professional certifications, designations, or equivalent required
  • 2+ years relevant experience

Customer Accountabilities:
  • Drafts legal documents and instruments, based on legal research and knowledge of law and legal procedures
  • Interacts with internal/external stakeholders regarding a variety of legal matters
  • Handles independently initial screening of incoming legal communications and correspondence
  • Manages maintenance of files and applicable databases
  • Assists with advice on legal process, researching, and responding to legal questions as necessary
  • Assists with management of expenditures on outside counsel in accordance with policies and procedures
  • Deals directly with clients and/or external counsel to assist in gathering and providing appropriate information and documentation
  • May assist in the preparation and maintenance of corporate records
  • Researches appropriate laws, judicial decisions, legal activities and other materials that are relevant to assigned cases
  • Participates in special projects as required

Job Details
Provides a wide range of paralegal support and general paralegal and incidental administrative services to practice teams or individual attorneys in the Legal Department. Under supervision of counsel, drafts routine legal documents, conducts legal research and analyzes law sources such as statutes, judicial decisions, legal articles and codes to prepare legal documents.

  • Experienced working professional role providing specialized business services, advisory or processes / program support within their own area of specialty
  • Requires experienced, conceptual and practical knowledge within their own specialty and knowledge of broader related areas
