The Opportunity
This position will function as an integral part of the legal team providing support to the Energy and Process Industries Sector. The ideal candidate will have experience in EPC contracting, risk identification and mitigation and have a solid understanding of the energy and process industries market. This role requires experience and ability to review and redline complex contracts and take the lead in negotiations with clients including their counsel (including outside counsel), partners, and major equipment providers with a detailed understanding of risk mitigation, corporate funding, project finance, and project finance issues.
Key Responsibilities

  • Proactively provides guidance and direction on division legal standards, systems, and company policies
  • Assists in developing, maintaining and updating legal standards
  • Advising internal clients on all aspects of contract requirements, risk mitigation, and providing timely and detailed drafting, review and redlining of a range of contract templates varying in complexity, all in accordance with B&V risk profiles and commercial/legal requirements. Business minded resolution of contract and commercial issues is key.
  • Conducts reviews of contracts and related documents
  • Conducts, either individually or as part of a team, negotiations to deliver agreements in line with company risk profiles
  • Renders legal assistance and counsel to project managers in connection with business transactions, such as project proposals, joint venture or other teaming arrangements, and other project-related documents
  • Handles negotiations as necessary to ensure the business interests and objectives of the firm are clearly identified, adequately protected, and the risk of loss or liability is minimized
  • Actively seeks to understand client interests and drivers through normal client contact and through interaction and communication with project leadership
  • Communicates client interests and drivers to team members and develops approaches to accommodate these concerns
  • Develops and applies advanced legal concepts and approaches to legal problems.
  • Actively shares knowledge with others, both within and outside division
  • Typically supports multiple projects on complex legal challenges
  • May assist in the development and delivery of company wide training

Preferred Qualifications
  • Typically 5-7 years experience in EPC contracting, preferably in the energy, utilities and/or oil and gas sectors.
  • Applicants should have a strong academic background and first chair experience in a top law firm or in-house corporate legal department related to the energy and utility industries.
  • Experience reviewing EPC, EPCM, C-only or other similar scopes of work, operations and maintenance work, joint venture and consortium agreements, NDAs, and major equipment contracts.
  • Successful team player who can coordinate, interact, and work as a key player in the B&V Legal and Risk Management group.
  • Solid understanding of critical legal issues such as indemnity provisions, limitations of liability and waivers, and other risk mitigation or risk shifting provisions, and other commercial issues such as protecting rights and entitlements for relief during project execution.
  • Strong understanding and adherence to B&V's Code of Conduct, compliance, anti-corruption and other similar laws.
  • Commercially savvy and strong business acumen in order to provide practical solutions to the business to enable the company to achieve its financial goals.
  • Executive-level written and verbal communication skills, including the ability to communicate and interact effectively at all levels and across all functions within the company, and the ability to convey complex contract and legal concepts clearly and succinctly.

Minimum Qualifications
  • Law degree required. Licensed to practice law in at least 1 jurisdiction.
  • Typically 3+ years of experience. All applicants must be able to complete pre-employment onboarding requirements (if selected) which may include any/all of the following: criminal/civil background check, drug screen, and motor vehicle records search, in compliance with any applicable laws and regulations.
