Position Summary:
The Premiere Group is in search of a dedicated full-time, entry-level Legal Counsel primarily in business transactions, real estate, and mergers and acquisitions. The selected candidate will support the General Counsel in managing a wide array of legal matters pertinent to business acquisitions, real estate transactions, corporate governance, and strategic initiatives for The Premiere Group and its affiliated entities. This position is an on-site position located in Columbia, MO.
Essential Duties and Responsibilities:
General Duties:
- Serve as legal advisor and business partner to teams across the organization.
- Support various operational and corporate legal matters, including privacy, competition, corporate governance, compliance, expansion, employment, and special projects.
- Prepare and revise complex legal documents.
- Conduct comprehensive legal research and analysis to craft impactful legal strategies and deliver sound counsel to our team.
- Manage a diverse workload, ensuring efficient and successful handling on high-priority matters while meeting critical deadlines.
- Additionally support the business and legal team in all cross functional areas, providing a true generalist experience.
Real Estate Duties:
- Coordinate with brokers, external counsel, title companies, escrow agents, and others for transaction closings and related activities.
- Oversee the creation, review, and modification of real estate documentation.
- Maintain open communication with external entities like landlords and opposing legal teams to ensure streamlined legal processes.
M&A Duties:
- Assist in all aspects of mergers and acquisitions.
- Support the legal team's management of subsidiaries and other entities, focusing on corporate governance.
- Prepare and oversee the filing of all necessary state, local, and federal forms (including annual reports, DBA filings, name changes, corporate resolutions, and dissolutions).
- Support the General Counsel with the drafting and analysis of a diverse array of legal documents, such as transaction documents, bylaws, compliance reports, and documents pertinent to the formation of entities.
Minimum Qualifications (Knowledge, Skills, and Abilities):
- J.D. from an accredited law school required; active law license in good standing.
- Legal experience, inclusive of clerkship experience.
- Proactive work ethic and innate curiosity.
- Experience with M&A preferred.
- Ability to multi-task within a fast-paced work environment with very detailed information and maintain a high degree of accuracy.
- Ability to organize, coordinate, manage self and time effectively, prioritize projects, and meet deadlines.
- Ability to communicate effectively, professionally, and persuasively with employees, managers, and the public, both verbally and in writing.
- Adaptable to growth and changes in organization, role, and systems.
- Preference to candidates located in or willing to relocate to Columbia, MO.
