Your Tasks:- Reporting to In-House Counsel, Americas
- Drafting, reviewing, and negotiating complex commercial contracts, including customer and vendor agreements, NDAs, strategic partnership agreements, software agreements and professional services/development agreements,
- Providing daily legal advice and counsel across a variety of practice areas including corporate governance, corporate structuring, labor & employment, regulatory compliance, product liability/risk management.
- Participate in the development and refinement of company policies and procedures to ensure compliance with applicable laws and regulations.
- Keeping abreast of current trends, practices, and changes in corporate law and regulations that may affect the company and its operations.
- Creating, revising and managing template agreements, developing playbooks and legal processes that can scale regionally to provide efficient and timely responses to internal clients.
- Being an active and trusted business partner and ensure the provision of timely business focused advice to business clients by identifying potential legal issues and mitigating risk.
- Participating in handling disputes that may arise in existing commercial relationships.
- Providing guidance and support to our cross-functional colleagues on a wide range of legal issues.
- Perform legal research.
- Prepare & deliver training content.
- Supporting management of outside counsel, including billing and litigation support.
- General administrative work related to support of the legal department
- Collaboration with other attorneys and professionals to provide comprehensive legal support.
- All other duties as assigned by In-House Counsel, Americas
Your Profile:
- Juris Doctorate degree from an accredited law school, by the American Bar Association.
- Admission to at least one US State Bar
- 3 to 5 years of experience, in-house legal or law firm.
- Proven experience in drafting, reviewing, and negotiating commercial contracts.
- Strong knowledge of corporate structuring and corporate governance
- Experience in some or all of these areas: regulatory compliance, product liability, commercial transactions
- Understanding of or experience with risk management/insurance programs a plus.
- Exceptional interpersonal and communication skills, with the ability to interact effectively with clients and colleagues at all levels.
- Strong analytical and problem-solving skills, with the ability to handle complex legal issues.
- Ability to work independently and as part of a team, managing multiple priorities in a fast-paced environment.
- High degree of professional ethics and integrity.
