Form of work3Red Partners, a proprietary trading firm headquartered in Chicago, is seeking an In-House Counsel to join the team. Our team has extensive, global experience in a wide variety of asset classes, risk management, and leading trading technologies. The In-House Counsel will have the opportunity to work in our Chicago office and oversee the legal function within the company. This role will offer the ability to manage and perform varied legal tasks and partner with the business in a growing company within the financial technology sector.
Your impact:
- Serve as the primary point of contact to advise senior management, business managers, business development personnel and other personnel on all legal aspects the firm's business
- Advise senior management on contract status, legal risks and business terms of various deals
- Negotiate and draft complex contracts, including vendor agreements, licensing agreements, and master services agreements
- Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes with the ability to provide concise summaries to internal parties for consideration
- Work closely with other internal departments such as compliance, human resources and accounting
- Provide training to the company and its affiliates on substantive legal topics
- Keep abreast of legislative changes that may affect the company and its affiliates
- Perform pre-litigation work to minimize risks and maximize legal rights, in anticipation of potential legal issues within the company and developing strategies to avoid costly litigation and reduce potential areas of risk
- Serve as the primary contact for all outside counsel relationships, including the ability to vet and engage new counsel if necessary
- Develop the company's policies on industry-specific issues and corporate governance
Your skills:
- 3-5+ years of experience as a practicing attorney either in-house at a start-up organization, at a law firm, in a large corporate legal department of a technology company, or some combination of these
- Law degree (JD) from accredited law school
- Illinois Bar membership or membership in good standing in at least one state bar in U.S., with ability to become licensed in Illinois, required
- Experience and subject matter expertise related to at least two of the following areas: SEC or
- CFTC regulatory compliance, corporate structure documents, partnership agreements,
employment law, intellectual property law, technology business law - Proven ability to successfully manage and prioritize multiple complex projects independently
with competing deadlines - Ability to equally work independently and as part of a collaborative team
- Excellent written and verbal communication skills
- Ability to conduct accurate, high-quality legal research
- Assisting with expansion into foreign jurisdictions and related employee on-boarding
