Who We are Looking For:
We are seeking four (4) highly experienced attorneys to serve as the General Counsel of a practice group within the SCDC Legal Department. Each General Counsel will report to the Chief Legal Officer of SCDC. You would be responsible for performing your own work assignments and for supervising the performance of the work assignments of 4 attorneys who would be reporting to you. You must have 10+ years as a practicing attorney specializing in one of the four following disciplines: Real Estate Law / Transactions, Corporate Structure / Formation, Compliance / Risk Mitigation, or Litigation.
General Counsel – Corporate Structure and Formation
You will develop the legal strategies to implement the optimal corporate structure from operational, logistical, accounting, and tax perspectives for a large nationwide conglomerate of vertically integrated subsidiaries. You will provide legal advice on the structuring of corporate acquisitions. You will be responsible for formulating all organizational and governance operating agreements and other Company documentation for corporations, LLCs, Series LLCs, and PMAs (including but not limited to HOAs, etc.) that can be adapted to the multiple jurisdictions in which the Company will conduct our business.
General Counsel – Real Estate and Transactions
You will provide legal advice on land acquisition, permitting, zoning, and other legal issues in connection with the real estate development of mixed-use multifamily luxury apartment communities on a nationwide scale. This advice would also include advice, analysis, and recommendations relating to environmental site assessments, title commitments, ALTA surveys, land use, and zoning issues. You will negotiate and draft retail and commercial lease agreements, letters of intent and purchase agreements, subordination, and non-disturbance agreements with our retail and business tenants. You will be responsible for handling all legal matters involving landlord-tenant issues for our property management company.
General Counsel – Compliance and Risk Management
You will create and implement a Company-wide legal compliance program that incorporates the Company’s Values, Mission, and Code of Business Conduct that will uphold our corporate standards and culture and will always meet or exceed all requirements under applicable Federal, state and local law. You will prepare proactive, prescriptive, and remedial risk assessment, detection, mitigation, and other risk management strategies that will be incorporated into a rigorous risk management system across numerous disciplines covering policies, protocols, processes, procedures, and training for Company personnel across all disciplines.
General Counsel – Litigation
You will provide strategic guidance, conduct legal research, develop case strategies, and manage complex litigation from the initial claim stage through final resolution. You will represent the Company in trial, post-trial, and appellate matters, including court hearings, settlement negotiations, post-trial, and appellate proceedings. Your work in these proceedings will include directly handling (or supervising the work of both in-house and outside counsel) preparing and responding to discovery, taking depositions, conducting investigations, and drafting pleadings, motions, and trial and appellate briefs.
Qualifications:
- Juris Doctor (J.D.) degree.
- Admission to the Texas Bar in good standing (or the ability to become admitted to the Texas Bar within a year if licensed in another state).
- Minimum of 10+ years of experience as a practicing attorney.
- Strong analytical and problem-solving skills, excellent communication skills, and a proven record of accomplishment in delivering high-quality work in your relevant practice area.
Additional Details:
- This position is in Downtown Houston, Texas 77002.
- The salary range is between $260,000 and $286,000.
- This is an on-site role. We do not offer remote or hybrid working opportunities.
- The ideal candidate must be available to start with two weeks of acceptance date.
- Limited relocation assistance may be provided under some circumstances.
