Job Description
The Corporate Paralegal will directly support and report to the Company’s Deputy General Counsel, assisting and supporting across several corporate and transactional functions. The primary responsibilities of the role include:
Entity Formation and Management
- Forming entities in many jurisdictions nationwide in connection with the opening of new GoodVets locations
- Filing annual reports and franchise tax filings to maintain active status
- Drafting internal organization documents including bylaws, organizational minutes and single-member LLC operating agreements.
- Maintain a database of all entities and their current status, including filing documents and correspondence with the state.
Regulatory Compliance & Filings
- Researching and navigating the corporate practice of medicine regulations and requirements in various jurisdictions nationwide
- Filing and maintaining certificates and licenses with regulatory agencies in various jurisdictions to maintain compliance with regulatory requirements
Contract Drafting & Execution
- Arranging execution of contracts, including internal governance documents, commercial agreements employment agreements, and other contracts that arise from time to time.
- Drafting form contracts, including non-disclosure agreements, employment agreements, internal governance documents and other contracts that arise from time to time.
Qualifications
- Must have 5+ years of large law firm experience in corporate and transactional work.
- Must have a Bachelor’s degree.
- Must be a dependable self-starter.
- Must be capable of working independently on multiple projects with the ability to prioritize tasks and meet strict deadlines
- Must possess excellent organization skills, and be able to operate effectively in a heavily metricized organization, where a demanding workload requires balancing multiple responsibilities simultaneously
- Must possess excellent written and oral communication skills and be capable of establishing effective working relationships with all levels of internal staff and external representatives
- Keeps abreast of developments germane to the function by participation or attendance at seminars, workshops, publication reviews, and independent study
- Should demonstrate competency in word processing and have proficiency with Word, Excel and other Microsoft Office applications
- Able to demonstrate an ability to quickly master new software application
- Extensive experience using track changes to redline documents
This is a contract role and the position is fully remote. There is an opportunity for this position to become full-time, based in our Chicago headquarters, in the future.
