The Corporate Governance Counsel is a member of the American Century Investments Legal Department. The primary responsibility of the Corporate Governance Counsel is to support fund and Corporate Governance activities of the registered investment companies that are the issuers of the American Century Investments funds and the three boards of directors/trustees that oversee them.
The ideal candidate would have a law degree from an accredited law school, bar membership in good standing, and relevant law firm or corporate legal experience.
Relevant Activities

  • Assist with scheduling, coordination, and execution of board meetings and interim communications with directors, counsel, and other constituencies.
  • Assist with the production and electronic posting of meeting materials for three boards of directors overseeing the American Century mutual funds and exchange-traded funds.
  • Assist with preparation of board minutes and management/maintenance of corporate/trust records (minute books, etc.).
  • Assist with regulatory analysis, monitoring, and planning related to fund and board activities (including without limitation maintenance of board governance calendars and implementation of regulatory changes).
  • Assist with record retention activities and preservation of board, committee, and investment company entity required records, and support the corporate document retention and other applicable compliance policies.
  • Assist with detailed documentation of fund governance and board team process and procedures.
  • Coordinate and prepare response to annual ICI/IDC Directors Practices Study.
  • Assist with other Legal Department projects and conduct legal research as needed.
  • Develop and expand knowledge of legal requirements relating to American Century Investment's business and the investment management industry.

Desired Skills, Education, and Experience
  • Juris doctor degree from an accredited law school, bar membership in good standing, and relevant law firm or corporate legal experience.
  • Knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and Investment Company Act of 1940 preferred.
  • Knowledge and experience with state corporation and statutory trust law preferred.
  • Experience coordinating and producing written materials.
  • Excellent language skills, including writing, grammar, and usage. Ability to communicate clearly and concisely, both orally and in writing, to legal and non-legal audiences. Ability to create informative and visually pleasing meeting materials.
  • Experience taking and producing corporate meeting minutes.
  • Experience with production of legal documents and compliance with applicable legal requirements.
  • Highly motivated self-starter with the ability to work under pressure, work after hours when needed, meet deadlines, determine priorities, plan, organize, and follow through with minimal supervision.
  • Ability to work independently and as a member of a team.
  • Attention to detail and excellent project management/organizational skills.
  • Professional attitude and demeanor and ability to appropriately interact with senior executives, board members, board counsel, and individuals at all levels of the organization.
  • Knowledge of and experience with Microsoft Word, Excel, Outlook, PowerPoint, and Teams required. Experience with BoardVantage and Webex a plus.
