Corporate Counsel, Travel Hospitality Services

The Opportunity 

Delaware North Global Headquarters is seeking an Assistant General Counsel (AGC) to join our team in Buffalo, NY with substantial experience in corporate, commercial and regulatory law. In this role, the attorney will provide legal counsel and support to Delaware North’s Travel Hospitality Services subsidiary engaged in food and beverage and retail operations at over 30 airports around the world.   The scope of activities engaged in by the AGC will include negotiation and review of various commercial contracts, attention to regulatory compliance issues in numerous jurisdictions, the negotiation of relationships with business partners, acquisitions and divestitures of business operations, the financing of transactions, the creation and development of new business enterprises, and the provision of general support to the company’s executives at its headquarters and various operating locations.  

 

This role is based at our Global Headquarters in Buffalo, NY. Relocation assistance is available.    

Pay

Minimum – Anticipated Maximum Base Salary: $168700 - $239100 / year

In addition to base salary, we offer an annual bonus plan based on company and individual performance, or a role-based, uncapped sales incentive plan. Responsibilities 

• Advise management on risks and legal alternatives for business decisions to assist in achieving corporate and subsidiary objectives.
• Negotiate and draft a wide variety of transaction agreements, related documents, and instruments which may include partnership and joint venture agreement, corporate organizational documents, leases, franchise agreements, real property development and construction, and facility management agreements.  
• Provide counsel and advisement regarding drafting and enforcing agreements, legal and regulatory issues, and contract renegotiation to ensure protection of the company's rights 
• Direct and oversee the services of outside counsel and Corporate Counsel staff, ensuring the work product is of the highest quality, is consistent with company objectives, is completed in a timely manner and to ensure the best possible results within economic and ethical bounds 
• Advise management regarding legal issues arising out of proposed business plans, proposals, and operations. Ensure compliance with all laws and regulations impacting the company and advise of changes to laws and regulations that may affect the company's business. 
• Prepare and analyze all legal documents, contracts, and agreements for conformity to the company's guidelines and legal requirements. 
• Work with a high degree of autonomy and independence while keeping the company’s management team advised of all important developments, and ensure that all business transactions are completed in a timely manner.

Qualifications 

• Juris Doctor required 
• Admission to the bar, preferably New York   
• A minimum of 10 years of experience as an attorney in corporate and business law is required, with a combination of law firm and corporate law department experience   
• Travel hospitality or other contract Hospitality Services experience preferred  
• Ability to identify critical business issues, negotiate major contracts, structure collaborative business enterprises, and lead teams of internal executives and external professionals in business acquisition and divestiture transactions 
• Excellent writing and communication skills with the ability to negotiate and persuade
• The ability to travel as required, generally in the form of day trips and occasional overnight trips
• Intermediate to advanced skills in common office applications including Word, Excel, Outlook, Teams or similar
