The Job:
As a Corporate Counsel, you'll be part of our Tools & Outdoor Legal Counsel team. This remote role provides counsel and advice to Stanley Black & Decker's Tools & Outdoor business, bearing responsibility for coordination and provision of various legal matters including, without limitation, customer, supplier and commercial contracting, dispute resolution, corporate policy compliance and training, issues relating to manufacturing operations and other business-related matters. The Job:
As a Corporate Counsel, you'll be part of our Tools & Outdoor Legal Counsel team. This remote role provides counsel and advice to Stanley Black & Decker's Tools & Outdoor business, bearing responsibility for coordination and provision of various legal matters including, without limitation, customer, supplier and commercial contracting, dispute resolution, corporate policy compliance and training, issues relating to manufacturing operations and other business-related matters. They will work in partnership with Tools & Outdoor, providing quality legal advice relevant to all matters of the business. You'll get to:
- Deliver timely, cost effective and technically accurate legal advice in a decisive and professional manner.
- Develop strong cross-functional working relationships.
- With the supervision of the Assistant General Counsel, engage and supervise outside legal counsel. Actively manage the agreement of legal fees for matters under external instructions; Audit and ensuring compliance with agreed fee arrangements.
- Ensure all commercial contracts are negotiated and completed within the legal parameters of the SBD Delegation of Authority (DOA) and the appropriate jurisdictions.
- Foresees and protects the company against legal risk.
- Advises and provides support on matters likely to become litigious within the GTS business.
- Familiar with a variety of legal concepts, practices, and procedures.
- Provides confident dispute management expertise; able to anticipate issues, proposes and implements appropriate measures.
- Develop in-depth knowledge of the products and services offered, methods of distribution, and business processes to provide legal and business counsel on issues and strategic planning initiatives.
The Person:

- J.D. from an accredited law school and admitted into practice in at least one state (preferably Connecticut, Maryland or New York)
- Has 10 to 15 years experience in private practice or an in-house position
- Experience with:
- Supply, distribution, sales, services and other commercial agreements
- Franchise law a plus
- Privacy and Data Security a plus
- Government Contracts a plus
- Experience with a manufacturing client or consumer product sales preferred.
- Excellent communication skills, both oral and written, required.
- Ability to demonstrate a broad sense of commercial awareness required.
- Ability to be detail oriented required.
- Knowledge of personal computers, including electronic E-mail, personal scheduling, word processing and electronic spreadsheet skills-Excel.
- Knowledge of general corporate transactional law required.
- Knowledge of contract development.
- Strong time management and organization skills required.
