JELD-WEN is currently seeking a Corporate Counsel, Contracts, NA to join our growing team.
The Opportunity
The JELD-WEN North American Legal team provides a wide range of legal services in areas of commercial and corporate law, including support of the procurement and sales teams, dispute resolution, commercial leasing, intellectual property support, compliance, training, and strategic transaction support. Reporting to the Regional General Counsel, North America, this role will support the effective delivery of strategic services to the JELD-WEN North American business units to help the business achieve its goals. Team collaboration with other JELD-WEN business units and functions and the broader global JELD-WEN Legal team will be required regularly.
In this role, the Corporate Counsel - Contracts will manage the North American Region's contract process, including the intake, negotiation, review, and approval process of contracts of varied complexity and size across our North American operations. Predominately covering sales and procurement contracts, but also occasionally services, this position's primary purpose is to enhance the capability of our commercial business clients and teams by providing timely strategic legal and business advice and contract expertise. This role will evaluate, revise, and negotiate contracts of varying complexity through execution and escalate contract-related concerns, as necessary, in addition to all other duties, as assigned. The Corporate Counsel - Contracts will also generate and maintain contract analytics using the legal department's matter management tools.
The ability to develop great relationships internally and externally, while adding value to the business and delivering support services that ensure that contractual KPIs, compliance, and other legislation requirements are met within approved risk and financial parameters will be key for success in this role.
What You Will Do
• Draft and negotiate a broad array of commercial agreements including supply, distribution, lease, licensing, real estate, and confidentiality agreements.
• With the support of senior lawyers, provide guidance on contract structure and process, including identifying risks and proposing alternative solutions to mitigate risks involved in potential
transactions.
• Work collaboratively with other members of the fast-paced legal team. Work closely with business leaders and all functional groups across the organization, ensuring that legal advice and
guidance are delivered in timely, proactive, practical, and cost-effective manner that meets the highest legal, ethical, and professional standards.
• Assist in supporting complex strategic transactions through the preparation of contracts and ancillary documents, lead due diligence preparation and review, and other related tasks, as
needed.
• Provide general legal guidance on other general commercial transactions and matters, as needed.
• Maintain knowledge of current and emerging legal developments, trends, and innovations.
• Other duties, as assigned.
Who You Are
• Minimum - 5 years' experience working as a commercial contracts' attorney, or similar role, in an in-house legal team or law firm, with primary responsibilities being contract negotiation and
business counselling.
• Proficient in drafting and editing a wide variety of contracts across various disciplines.
• Demonstrated negotiation and problem-solving skills, including experience of utilizing alternative solutions to address risks and needs.
• Experience working in a multi-national manufacturing business or similar complex organization and systems in a rapidly changing environment would be an advantage.
• Systems - sound knowledge of Microsoft Office Suite. Exposure to matter management software (ASCENT a plus), online collaboration tools, and SAP are all advantages but not essential.
• Communication - strong communication, negotiation, drafting and presentation skills; confident and influential communicator.
• Time Management - ability to manage various deadlines and a strong commitment to delivering to targets in a fast-paced environment.
• A Juris Doctorate and admission to a state bar.
• Experience advising a multi-national manufacturing business or similar complex organization.
• Robust skills in Microsoft Office software, including Outlook, Word, Excel, PowerPoint, and Teams.
• Strong communication, negotiation, drafting, and presentation skills.
• Advanced knowledge of matter management software and expert proficiency in working with database platforms.
• Superior research skills, including web-based legal research tools.
• Must be fluent in both written and spoken English (French and/or Spanish a plus).
