Salary Range: $101,565-$178,444
Position Summary
The Corporate Counselwill provide legal support to all Yusen business divisions across the US while mitigating legal risks and facilitating compliance with all applicable laws and corporate policies. The position requires well-thought out processes and judgment on a broad range of legal matters, as well as the ability to conceive, implement and monitor processes, procedures and operational activities/issues from a legal perspective. The Corporate Counsel will work closely with other members of the Legal, Quality and Governance Department.
Essential Duties and Responsibilities
- Ensure timely delivery of quality legal advice and service to support internal clients on a broad range of domestic and international legal issues, including commercial and operational matters, real estate matters, customer and vendor contracting, employment law related issues and queries, customer bankruptcy, privacy, records management and general corporate issues;
- Review, draft and negotiate a range of commercial contracts including, but not limited to, customer contracts, vendor and subcontractor agreements, technology license agreements, real estate leases, confidentiality agreements, various terms & conditions and other transactional documents;
- Assist with RFPs and RFQs;
- Analyze and summarize legal documents and complex business transactions and contracts;
- Work with Human Resources, Operations, and outside counsel, when retained, to (i) respond to discovery demands, subpoenas and other legal process; (ii) conduct internal investigations; and (iii) manage litigation;
- Support Human Resources department in drafting, updating and negotiating employment agreements, temporary agency agreements, independent contractor agreements, and managing compliance with employment, discrimination and harassment laws and regulations;
- Assist in development and delivery of training materials on a wide variety of legal and regulatory topics;
- Anticipate and mitigate potential legal problems involving the Company;
- Assist with the development and implementation of Company policies and procedures;
- Review and assess current legal processes, structures and procedures (including control procedures);
- Identify areas of risk, recommend ways to mitigate and implement appropriate protections;
- Develop subject matter expertise as requested by the General Counsel or Deputy General Counsel; for example in corporate governance, relevant regulations, litigation management, domestic and international law, intellectual property protection and contracting, etc.
Education and Experience
- JD degree from accredited law school and currently admitted to practice law in at least one (1) state within the U.S.
- 3-6 years of legal experience with a private law firm and/or corporate law department;
- Knowledge of employment law, maritime law, real estate leases, mergers and acquisitions and litigation experience are each a plus but not required;
- Strong business sense;
- Excellent verbal and written communication skills, including an ability to clearly and concisely describe complex legal issues to business clients;
- Collaborative, with strong ability to build relationships, gain credibility, and partner with others;
- Ability to multi-task;
- Some travel may be required;
- Position is subject to our hybrid work policy. Proximity to Secaucus corporate headquarters, Torrance, California or Elk Grove Village, Illinois locations preferred
