Reporting to the SVP and General Counsel, the Corporate Counsel II role includes preparing, reviewing and negotiating various bid responses and commercial agreements. The Corporate Counsel II will also respond to pre-litigation disputes and regulatory matters pertaining to the division in which they support.
Responsibilities
• Provide legal advice to relevant Konica Minolta departments.
• Advise and support to assigned division on commercial and regulatory matters.
• Review and negotiate commercial contracts.
• Participate in a variety of complex legal matters.
• Manage litigation matters, including monitoring deadlines, reviewing and responding to discovery requests, and reviewing pleadings.
• Skillfully draft, review, and negotiate a diverse range of commercial agreements, including SaaS agreements, service level agreements, vendor contracts, and strategic partnerships.
Qualifications
• Law Degree required (Member of New Jersey Bar)
• 4 + years of commercial transaction experience
• Comprehensive understanding of SaaS business models and related legal intricacies
• Experience with mergers and acquisitions
• Comprehensive understanding of SaaS business models and related legal intricacies
• Experience with mergers and acquisitions
• Must possess strong interpersonal and organizational skills and be detail oriented
• Strong analytical skills
• Strong written and verbal communication and presentation skills
• Ability to multi-task and prioritize effectively, excellent attention to detail.
• Ability to manage multiple projects simultaneously in a deadline driven environment
• Ability to handle extremely confidential information
