The Contracts Manager/Paralegal role is the company’s primary person for reviewing, redlining, and negotiating a range of standard commercial contracts, including customer, vendor, and lease agreements, with support from the Company’s in-house legal counsel as needed. This position will be responsible for upholding Marsden’s standards in negotiating contracts and following an orderly process for managing the contracting process, while at the same time being flexible and responsive to the needs of internal business stakeholders.

This position will manage and improve the company’s commercial contracting process, including compliance with prevailing wage and other government contracting requirements. The position will also play a prominent role in managing state licensing registrations and renewals, as well as preparation of other legal documents for review by the company’s in-house legal counsel.      

Core Responsibilities

·       Review all customer, vendor, leases and other contracts to identify statutory and contractual obligations.

·       Redline and negotiate contracts with third parties to ensure they are consistent with Marsden’s standards and risk tolerance.

·       Work directly with internal business stakeholders to ensure they understand and comply with all statutory and contractual obligations, especially government contracts.

·       Manage and improve Marsden’s contracting processes and procedures, including working with contract administrators, to ensure timely completion and execution of agreements in a fast-paced environment.

·       Oversee subcontracting approval process (review all subcontracts, ensure subcontractors are compliant with contract requirements, and insurance requirements).

·       Draft legal and business communications, contracts, and documents for maintaining legal entities to be reviewed by Deputy General Counsel.

·       Renew and apply for various state registrations and other various licenses, including but not limited to, city, county, and contractor licenses for the various operating companies.

·       Research requirements as needed related to any of the foregoing subjects.

 

Education, Skills, and Experience

·       3+ years’ experience in contracts management role (preferably in corporate setting but will consider law firm experience as well).

·       College degree or paralegal certificate preferred.

·       High level of understanding of contract interpretation and strong command of language and grammar is essential, including the willingness and adaptability to learn new things.

·       Superior written communication skills to draft professional business communications with concise and accurate contract summaries.

·       Excellent attention to detail, organizational skills, self-starter initiative, and the ability to work as part of a team.

·       Must be able to work quickly and independently with strong multi-tasking skills in a fast-paced environment, including the ability to budget time under the pressure of multiple deadlines, set priorities, and juggle conflicting priorities.

·       Experience negotiating contract language with third parties.

·       Advanced Microsoft Office Suite skills and other software relevant to the position, including adaptability to learn additional programs as required for the position. (Salesforce contract management is a plus).

Supervisory Responsibility

None to begin. Potential for future supervisory oversight of contract administrators.

Position Type/Expected Hours of Work

Standard business hours, with occasional evening and weekend work as needed.  Marsden prefers a hybrid role with 2x-3x week in Marsden’s corporate office in St. Paul, Minnesota, but is willing to consider fully remote positions.

Travel

Minimal. Less than 5% infrequent travel.
