This role is to be the right hand to the Founder of a family office and assist in working across the portfolio companies. Every day will be different, but here is a list of possible activities for the role
Potential Responsibilities:
Company that acquires and operates businesses:
1. Sourcing Acquisitions & Due Diligence
- Assist in developing avenues to source acquisitions
- Perform initial review of leads (using established criteria), including contacting company as needed
- Review/edit draft of NDA
- Setup and maintain due diligence lists for potential targets
- Communicate with company to obtain DD materials, as necessary
- Attend DD calls and in-person/onsite meetings
- Assist in managing our own DD efforts (create a system for this)
- Point person for the Quality of Earnings Analysis
- Development of financial models, alternate scenarios and sensitivity analyses
- Assist in developing short-form acquisition/business plan to use with potential lenders
- Take part in discussions with lenders on obtaining needed financing
- Assist in development of Sale and Purchase Agreement with legal team
- Develop criteria list for target companies
2. Portfolio Companies
- Assist in developing initial strategy for new portfolio companies as well as the initial kick-off meetings
- Assist in development of scorecards and appropriate management reports
- Attend calls/meetings with portfolio companies, as needed
- Follow up to ensure all financials, management reports, scorecards are received in a timely basis - and review for performance
- Take on one-off tasks for portfolio companies as needed
- Systematize approach to certain issues we repeatedly see at portfolio companies
- Maintain calendar of government reporting and ensure it is adhered to by all companies
3. Exit Planning & Exit
- Work with portfolio companies to plan for exit (using established analysis, etc)
- Create Investor Memorandum and Executive Summery to be used for sale process
- Build out the Data Room with portfolio company
- Help build list of potential buyers
- Run process with potential buyers (sending out Exec Summary, obtain signed NDAs, send out IMs, gauge interest)
- Take part in conversations/negotiations with potential buyers
- Handhold buyer through DD process
- Asist in legal – developing Sale and Purchase Agreement
Alternative Financing Company:
1. New Clients
- Assist in identifying new clients
- Manage DD process for potential clients
- Work with legal on developing proper documentation for incoming client
2. Existing Clients
- Ensure all needed materials are received prior to any financing is provided to new/existing clients
- Ensure timely payment by clients
- Ensure all procedures/requirements are met by clients
- Maintain (or follow up with accounting to ensure) proper tracking of all financings
Family Office:
1. Projects
- Assist in DD/fundraising process for large-scale projects
- Develop and maintain financial models for these projects
- Creation of business plans / investment cases as needed
- Asist in legal process, as needed
2. Overall
- Maintain overall scorecards (and performance against)
- Ensure all financial reports are received timely
- Assist in ensuring all government reporting is completed, and on a timely basis
- Assist in hiring processes
Experience:
We prefer energy and desire to do a job over experience. However, this role will benefit if the right person has knowledge of the following:
1. Past experience in having meetings/conversations with C-suite executives
2. Past experience with finance / accounting
- Knowledge of accounting and accounting systems
- Financial modeling (e.g. how to create integrated financial statements from scratch)
- Financial modeling for large scale projects and/or acquisition
3. Past experience with company operations
- Past experience evaluating and/or managing companies - understanding of management processes, reporting, systems, etc
4. Past experience with legal documents (NDAs, CIMs, Sale and Purchase Agreements, Contracts, etc)
