The Office of the Chief Legal and Risk Officer of JDRF is involved in the legal and compliance aspects of the work of the organization. Reporting to the CLRO, the Associate General Counsel will work closely with the CLRO and will interact with and support various departments across JDRF. Though this position is primarily a legal and compliance generalist, it will collaborate with various departments it and will substantively support a variety of initiatives including contract review and drafting, corporate governance, intellectual property, privacy and cyber security and interpretation and enforcement of policies and procedures.

Position Responsibilities:
With minimal supervision, plan and conduct complex legal assignments including the following:
• Draft, negotiate, and review a broad range of contracts and agreements on behalf of the organization; respond to contract disputes.
• Manage, update, interpret and enforce policies and procedures including monitoring regulatory and business strategy changes and ensuring timely review and revision of policies and procedures to support the regulatory and strategy changes.
• Assist with corporate governance matters.
• Works closely with JDRF chapters to provide general legal advice and guidance on contracts, event planning/risks and conflicts of interest.
• Support the CLRO in building a legal operations function.
• Provide education to staff on legal matters.
• Conduct thorough research on legal and compliance issues.
• Draft thoughtful, organized, and clear documents, including, but not limited to, analysis/advice memoranda, trainings and presentations.
• Develop strong relationships with, and advise internal clients on, a broad range of legal issues.
• Other duties as assigned.
Position Qualifications/Minimum Requirements:
• A law degree (J.D.) from an ABA-accredited law school and admitted to practice and in good standing in at least one U.S. state bar.
• At least eight to ten years of experience working for a law firm and/or in-house legal department specializing in advising client(s), contract drafting and negotiation and general legal advice on various issues.
• Familiarity with the various legal and compliance issues facing U.S. nonprofit organizations, particularly in the areas of contract law, intellectual property, information security, privacy and tax.
• Non-profit experience preferred, but not required.
• Experience working with nonprofit governing boards and related governing documents.
• Demonstrated ability to proactively identify and address issues and make recommendations/provide solutions on difficult and sensitive issues.
• Demonstrated ability to exercise good judgment, problem solve, and perform well independently with a solutions-oriented approach.
• Excellent research, analytical, oral, and written communication skills
• Outstanding time management and organizational skills, with careful attention to detail and accountability for meeting deliverables and deadlines in a fast-paced, multi-tasked environment
• Collaborative and collegial approach, an ability and desire to work in a team-based environment, demonstrated ability to build trust with internal and external stakeholders.
• Ability to think creatively to provide business-oriented solutions that limit legal risks.

• Proficient in Microsoft Office365 applications; Experience with LexisNexis, Bloomberg Law and other web-based research tools
• Some travel may be required.

Targeted salary range: $170,000 - $190,000
