Purpose
Contributes to the overall success of the U.S. Legal Department by providing day-to-day legal support on a broad range of matters across multiple businesses and operations of the Bank's U.S. Global Banking & Markets (GBM) business, with a primary focus on Asset Backed Securities ("ABS"), Collateralized Loan Obligations ("CLOs") and other ECM and DCM businesses.

Purpose
Contributes to the overall success of the U.S. Legal Department by providing day-to-day legal support on a broad range of matters across multiple businesses and operations of the Bank's U.S. Global Banking & Markets (GBM) business, with a primary focus on Asset Backed Securities ("ABS"), Collateralized Loan Obligations ("CLOs") and other ECM and DCM businesses.
What You'll Do
- Provides day-to-day legal advice and support to Scotiabank's ABS business.
- Provides secondary support to Scotiabank's CLO, ECM and DCM businesses.
- Actively negotiates offering documentation (both SEC-registered and private placements), including engagement letters, opinions, underwriting/purchase agreements, auditor letters, and diligence materials.
- Reviews marketing materials (including disclosures and investor communications).
- Assists in updating or creating standard templates, as required.
- Tracks and monitors legal, regulatory and market changes affecting the ABS and CLO businesses.
- Partners with internal stakeholders to structure products and transactions and to build robust processes for managing Legal and regulatory risk.
- Contributes to a customer-focused culture to deepen client relationships and leverage broader Bank relationships, systems, and knowledge.
- Advises internal stakeholders, including the front office and other corporate functions, in rolling out key strategic projects and new business initiatives.
- Analyzes Legal and regulatory issues in area of practice and provides timely and well-researched work product to clients on complex legal matters.
- Contributes to efficient and effective relationships with outside counsel and manages legal costs and invoices.
- Understands how the Bank's risk appetite and risk culture should be considered in day-to-day activities and decisions.
- Demonstrates a proactive approach to developing competency in unfamiliar practice areas.
- Pursues effective adherence to Scotiabank's Values and its Code of Conduct, while ensuring the adequacy, adherence to, and effectiveness of business controls to meet obligations with respect to operational, compliance, AML/sanctions, and conduct risk.
What You'll Bring
- J.D. and licensed attorney in good standing admitted or otherwise authorized to practice law in New York. Position to be based New York, NY on a hybrid schedule (minimum 2-3 days in downtown office).
- Minimum of 3 years in large international law firm and/or large bank representing issuers and/or financial institutions in SEC-registered and privately-placed ABS offerings, CLOs and other debt and equity capital markets transactions.
- Knowledge of, and experience with, '33 Act, '34 Act, Rule 144A and other private placement exemptions, and disclosure issues for financial institutions and related products.
