Purpose:
Contributes to the overall success of the U.S. Legal Department by providing day-to-day legal support on a broad range of matters across multiple businesses and operations of the Bank's U.S. Global Banking & Markets (GBM) business, with a primary focus on corporate and investment banking, trade finance, and global business payments and cash management.
What You'll Do:
  • Provides day-to-day legal advice and support to Scotiabank's Corporate Banking and investment banking businesses.
  • Provides secondary support to Scotiabank's global business payments (GBP) businesses.
  • Drafts, negotiates and advises on a wide range of Corporate Banking agreements, including loan facilities, letter of credit facilities, reimbursement agreements, guarantees, deposit agreements, cash management agreements, and M&A engagement letters.
  • Partners with internal stakeholders to structure products and transactions and to build robust processes for managing legal and regulatory risk.
  • Contributes to a customer-focused culture to deepen client relationships and leverage broader Bank relationships, systems, and knowledge.
  • Advises internal stakeholders, including the front office and other corporate functions, in rolling out key strategic projects and new business initiatives.
  • Analyzes legal and regulatory issues in area of practice and provides timely and well-researched work product to clients on complex legal matters.
  • Maintains an awareness of and monitors the regulatory environment for emerging legislation and policy statements, along with relevant trends and industry best practices applicable to Scotiabank's U.S. banking operations.
  • Contributes to efficient and effective relationships with outside counsel and manages legal costs and invoices.
  • Understands how the Bank's risk appetite and risk culture should be considered in day-to-day activities and decisions.
  • Demonstrates a proactive approach to developing competency in unfamiliar practice areas.
  • Pursues effective adherence to Scotiabank's Values and its Code of Conduct, while ensuring the adequacy, adherence to, and effectiveness of business controls to meet obligations with respect to operational, compliance, AML/sanctions, and conduct risk.

What You'll Bring:
  • J.D. and licensed attorney in good standing admitted or otherwise authorized to practice law in the states of Texas or New York. Position to be based in Houston, Texas or New York, NY on a hybrid schedule (minimum 2-3 days in downtown office).
  • Minimum of 4 years of legal experience advising on complex corporate lending (including leveraged finance and/or project finance) at a major money-center or investment bank and/or large international law firm.
  • Experience in one or more of the following additional areas a plus, but not required: trade finance (supply chain finance and standby letters of credit), cash management and payments, and mergers and acquisitions.
  • Working knowledge of the regulatory and compliance requirements applicable to banks.
  • Fluency in Spanish and/or Portuguese a plus, but not required.
