Associate Counsel, Global Procurement Legal is part of a small, highly motivated legal team responsible for providing legal advice and support to corporate functions within The Estee Lauder Companies, including IT and Supply Chain, focusing on transactions from EMEA and North America. The Assistant Counsel partners with Procurement and business stakeholders to negotiate and draft supplier agreements to facilitate business initiatives, including sustainability and global growth.
75% Contract Negotiation and Legal Advice. While negotiating and drafting supplier agreements, provide legal advice and options to senior leaders for a variety of commodities such as technology (SaaS, software, hardware, IaaS, PaaS), professional services, HR benefits, logistics, third party manufacturing, and outsourcing agreements
20% Template Drafting. Participate in and lead template drafting projects to create efficiencies and repeatable processes.
5% Outside Counsel Management. Coordinate with, and occasionally manage, outside law firms with respect to highly complex or specialized transactions, as well as litigation arising from breach of contract and other contract-related disputes
Focus on EMEA vs. North American work approximately 50%/50%; breakdown with flex based on volume and prioritization
Experienced, business-oriented corporate lawyer with ability to form strong relationships with and serve as counsel to senior leaders and teams in Supply Chain, Procurement, and IT
Draft, review, and negotiate various complex commercial contracts with suppliers such as SaaS, on-premise software, IaaS, PaaS, software development, IT and business process outsourcing, data licensing, consulting and professional services, HR benefits, logistics and warehouse services, purchase agreements, and other agreements necessary
Build, update and refine contract templates and playbooks customized to meet specific needs and requirements of business, while incorporating experience-informed negotiating positions
Harmonize contract templates across geographies while accounting for local mandatory law; help drive efficient contract architectures
Use CLM automation for the negotiating and drafting process, including implementing more modern ways of working
Partner with senior Procurement leaders to identify areas needing contract management; execute on the strategies identified between Legal and Procurement; work autonomously to drive contract-related programs
Partner with outside counsel where needed on large-scale, high-risk supply chain initiatives
Train senior stakeholders on legal issues and contracting best practices
Analyze contract disputes and provide advice for resolution; partner with litigation team as needed
Ability to meet deadlines, prioritize workload, adapt to changing conditions and execute in a complex matrix environment
Attention to detail, strong written and verbal communication skills, and ability to create process efficiencies
Cosmetic or consumer goods industry experience a plus; familiarity with related global regulations
Combination of law firm and in-house experience a plus; 5-8years of relevant experience
French language skills a plus.
The anticipated base salary range for this position is $105,500 to $181,500 . Exact salary depends on several factors such as experience, skills, education, and budget. Salary range may vary based on geographic location. In addition to base salary, this position is eligible for participation in a highly competitive bonus program with possibility for overachievement based on performance and company results as well as participation in the share incentive plan.
