Job Description

The role of Associate Corporate Counsel, Americas is a broad in house role comprising legal/commercial/compliance responsibilities within Smiths Detection Inc. and will involve advising and supporting the Smiths Detection businesses across the Americas. The role will be located in Edgewood, MD and the successful candidate will be expected to work from our Edgewood office at least 3 x days per week. The role encompasses two key areas: (i) the day-to-day proactive management of legal and quasi legal matters across the risk spectrum in the region and (ii) delivering advice/support for certain of Smiths Detection Inc.’s clearly defined strategic initiatives. Key to the role is getting to understand the Smiths Detection business and to develop close working relationships with employees across each layer of the organization including executive/senior management and the business teams in order to shape and drive strategy and improve the identification, assessment and management of legal risk.

 

Duties & Responsibilities
  • Supporting the Smiths Detection Inc. Legal Director with the day to day operations of the Smiths Detection Americas legal 
  • Working closely with the business units to support their material day-to-day needs across the risk spectrum – e.g., business development, commercial, corporate, contract (including with government and government prime/sub-prime contractors; and the ongoing compliance of such contracts), IP, compliance, international trade, employment and labor law, dispute resolution, litigation management etc. - utilizing Smiths Group Legal resource or external counsel as appropriate. 
  • Advising/supporting the business on its Special Security Agreement (SSA) structure and working with others to ensure ongoing compliance with the SSA governance framework. 
  • Supporting the ethics, compliance, and governance processes; fostering and exemplifying a culture of integrity, credibility and best business practices.  Identifying/anticipating risks and opportunities across the Smiths Detection business and helping to drive/foster pro- active behaviors and practices. 
  • Supporting the Smiths Detection business on delivering its clearly defined strategic Shaping future strategic direction. 
  • Developing strong collaborative working relationships with executive/senior management and the business teams. Travelling to Smiths Detection sites as appropriate. 
  • Delivering advice to a high standard, within timeframes required by the business and in a manner that meets commercial

The Individual

Education Requirements:

  • Law Degree from an accredited U.S. law school or equivalent
  • License to practice law in one or more U.S. States Experience Required

Experience Requirements:

  • At least 5 year’s PQE law firm or in-house experience
  • Ability to pass SSI security background check

Technical Knowledge and Skills:

  • Significant advisory and commercial experience (experience with government contracts or IP is a plus)
  • Litigation, mediation, and settlement preparation and management experience
  • Experience with international business, including obtaining and interpreting local law advice in jurisdictions outside of the US (particularly in LATAM or Canada)
  • Exposure to industrial/manufacturing operations
  • Exposure to labor union environments
  • Exposure to working within a Sensitive Security Agreement (SSA) Environment
  • Continuous improvement mindset and effective change agent in support of strategic objectives and priorities
  • Sound independent judgement and ability to establish priorities
  • Strong empathy and relationship management skills sufficient to build and maintain an effective network of internal and external relationships.
  • Strong interpersonal and collaboration skills to gain trust of all colleagues.
  • Fluency in Spanish and knowledge of legal systems in Latin America is a strong plus

Background:

This position requires access to ITAR, EAR, and Department of State or Department of Commerce controlled information and routine access to a cleared facility. Applicant must be a U.S. Person (citizen, green card holder or other permanent resident or protected resident).
