POSITION TITLE: Staff Attorney – Contracts
REPORTS TO TITLE: VP of Legal Affairs and General Counsel
KNOWLEDGE, SKILLS, AND ABILITIES
- Bilingual English-Spanish
- Must be flexible and willing to work on a broad variety of legal matters.
- Must be able to prioritize multiple tasks quickly.
- Must have excellent written/verbal skills as well as analytical and problem-solving skills.
- Must have high level organizational skill and strong initiative.
- Strong computer skills required, including Microsoft Teams, Excel, Word, and Outlook

- Strong negotiating skills with both legal and financial/commercial issues

EDUCATION AND EXPERIENCE
- Must be a graduate of an accredited law school, J.D or equivalent.
- Must be a member in good standing of the bar of at least one state.
- 5-8 years of experience advising on contract matters at a law firm or as in-house.
Responsibilities:
- Advise executives and business units within the company on different legal matters.
- Negotiate, draft and/or review transactions, contracts, agreements, memorandums of understanding, and various other legal documents.
- Develop terms and conditions of contracts for all assigned procurement, sales, supply chain, operations, and IT projects.
- Research and advise on legal issues related to construction, environmental, real estate, and maritime law, and regulatory and contractual matters.
- Draft and review scope of services, requests for proposals, requests for qualifications and other procurement related documents.
- Provide advice and counsel during transactional/contract development drafting and negotiations regarding potential or actual disputes, legal issues, liability and analyzes liability or litigation exposure,
- Assist VP of Legal Affairs and General Counsel and litigation counsel in contract or transactional claim development, settlement agreements, defense, or prosecution.
- Legal advice on commercial and industrial real estate transactions.
- Legal advice on government contracts and Federal Acquisition Regulations.
- Support compliance with legal and regulatory requirements, including compliance with trade laws, develop contract policy for business units.
- Develop and maintain contracting manual with policies and procedures that may involve use of company supplied contract management software.
- Improve existing contract templates and write new contract templates as the need arises.
- Maintains contracts tickler (reminder) system to monitor important renewal and notice deadlines.
- Review advertising and marketing materials to ensure that they are in compliance with legal requirements.
- Provide training to the company personnel on legal topics and legal department’s processing systems.
