Summary: Assist the sales, order processing, and service teams within MAN-ES-USA to develop, review, negotiate, manage as well as enforce a variety of Commercial Contracts and legal documents with respective clients, business partners, and affiliates. Frequently interact with the MAN-ES internal legal team and act as a liaison with European headquarters to insure all aspects of contract negotiation and execution.
Key Job Responsibilities:
Preparation & Review
- Review and manage customer proposed terms and conditions of Commercial Contracts such as, but not limited to:
- Non-Disclosure Agreements
- Sales / Purchasing Agreements
- Sub-contracts
- Consulting Agreements
- Master Agreements
- Provide redlined recommendations on all standard and nonstandard contracts.
- Monitor compliance by company employees with established procedures and policies. Identify areas of recurrent commercial / legal risk.
- Legal research on applicable national, international and local laws to identify any rules to follow or conflicts that might arise.
Negotiation
- Serve as the main point of contact for customers on contractual matters ensuring timely review and approval / reconciliation of variations.
- Serve as liaison between German & Swiss headquarters and local North American customers on contractual matters.
- Mitigate commercial & legal risk on all contracts.
- Support Sales/ Service / Marketing to ensure company products and services are offered and procured with appropriate, competitive terms and conditions.
- Monitor competitive terms and customer satisfaction with our terms and conditions.
- Provide legal guidance for negotiating contractual disputes (pre-litigation) with both customers and suppliers.
Standardization & Training
- Provide guidance on contractual matters to project managers or other sales/service staff, including periodic training to all corporate personnel on contracting practices and procedures as well as on legal topics, as necessary.
- Develop and implement procedures for contract management and administration in compliance with company policy. As appropriate, contribute to or influence company policies.
- Able to give commercial teams practical advice and explanations that avoid "legalese".
Execution
- Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness and interpretation to support execution.
- Handle on-going issue and change management.
- Ensure contract close-out, extension or renewal.
Required Education: Bachelor's Degree in Business Administration with preferred background in contractual law.
Required Experience: 5+ years with contractual management & negotiation experience.
Desired Qualifications:
- Bachelor's Degree in mechanical or industrial engineering.
- Master's Degree in Business Administration.
- Experience working as a Contract attorney.
- Certifications in either of the following: CCM, CCCM, or CPCM
