Position Summary
Provides legal counsel to Xcel Energy and its subsidiaries and manages outside counsel. Handles routine legal matters with minimal assistance from other attorneys, assists other attorneys with complex legal matters. The candidate should have strong knowledge of corporate and securities laws, corporate governance matters, as well as transactional and securities offering experience.
Essential Responsibilities

  • Advise on corporate finance transactions (e.g., public and private debt and equity offerings, credit facilities and other project financings) and related securities registration requirements and other Treasury matters (e.g., hedging agreements).
  • Prepare and review SEC filings (e.g., Forms 10-K, 10-Q and 8-K, proxy statement and Section 16 filings).
  • Provide legal support and advice with respect to SEC reporting requirements (including ESG and cybersecurity requirements), Nasdaq compliance and other corporate governance matters.
  • Assist the Corporate Secretary with preparation and review of board meeting materials.
  • Provide legal advice related to investor relations and public disclosure issues, including review of earnings releases, press releases and investor communications.
  • Review, revise and maintain corporate policies and charters.
  • Advise on securities and insider trading matters.
  • Manage subsidiary governance, including maintenance and updates to corporate governance documents for company subsidiaries.
  • Provide legal support and advice for Xcel Energy Foundation.

Senior Attorney Minimum Requirements (Salary Range: $103,000 - $146,332)
  • Juris Doctorate degree from ABA accredited law school.
  • 3-6 years of practice in corporate law department, law firm, government practice or equivalent legal experience.

Principal Attorney Minimum Requirements (Salary Range: $136,000 - $195,000)
  • Juris Doctorate degree from ABA accredited law school.
  • 6-10 years of practice in corporate law department, law firm, government practice or equivalent legal experience.

Preferred Qualifications
  • Thorough understanding of and have experience working on public company debt and equity offerings and credit facilities.
  • Knowledge regarding Forms 10-K, 10-Q and 8-K reporting requirements, proxy disclosure rules, Regulation S-K, and other SEC rules and regulations affecting disclosure obligations of public companies.
  • Strong analytical, organizational and interpersonal skills.
  • Large law firm experience is preferred.

Non-Bargaining
The anticipated starting base pay for this position is: $103,000.00 to $195,000.00 per year

Pay and benefit packages may vary based on position. Some employees are under collective bargaining agreements, which determine the benefits they will receive.
