Manager, Financial Due Diligence (Multiple Positions), PricewaterhouseCoopers LLP, Florham Park, NJ. Help organizations realize the potential of mergers, acquisitions and divestitures, and capital markets. Work on engagements focused on helping clients achieve maximum value on their deal transactions by using data to solve transformational and complex challenges through operational aspects of a transaction. Employ sophisticated models and analytical skills to value complex financial instruments and design strategies to reduce client risk and maximize opportunities. Help clients to ensure maximum value for their company. Assist companies to originate, create, execute and realize value from deals. Analyzing financial and operational results of businesses to be acquired or sold through reviewing accounting records and conducting interviews with management of the target company. Analyzing and synthesizing target company data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks which impact valuation to identify negotiation factors for purchase price and deal structuring. Supporting the review and analysis of company financial policies, financial statements and income statements for clients within different industries such as insurance, management consulting, and/or advisory. Resolving issues in technical accounting areas such as US GAAP and/or SEC reporting, especially pertaining to business combinations. Creating and designing transaction advisory reports specific to key issues such as normalized earnings, valuation model input assumptions, achievability of management's budget, indebtedness considerations, borrowing base calculations, and business combinations and carve-out financial statements.
40 hrs/week, Mon-Fri, 8:30 a.m. - 5:30 p.m.
MINIMUM REQUIREMENTS:
Must have a Bachelor's degree or foreign equivalent in Accounting, Finance, Business Administration, or a related field, plus 5 years of post-bachelor’s, progressive related work experience.
In the alternative, the employer will accept a Master's degree or foreign equivalent in Accounting, Finance, Business Administration, or a related field, plus 3 years of related work experience.
Certification(s) Required: US CPA license, CFA, or foreign equivalent.
Must have at least one year of experience with each of the following:
- Working with U.S. GAAP, U.S. GAAS, and/or AICPA procedures and standards;
- Supporting deals based on technical standards, industry knowledge, and audit best practices; and
- Assessing and defining resource requirements, project workflow, budgets, billing, and collection.
80% telecommuting permitted. Must be able to commute to the designated local office.
Travel requirement(s): Domestic and/or international travel up to 60% required.
