Tergar International is a 501(c)3 non-profit organization that develops and delivers Tergar programs, in partnership with our sister organization Tergar Asia. Tergar International is based in the United States of America in the Twin Cities of Minneapolis / St. Paul, Minnesota, with a staff of nearly 40 employees and core contractors who work in various locations worldwide.
Job Overview
The Legal and Compliance Coordinator will support the legal and regulatory needs of Tergar International, a global non-profit organization based out of Minnesota USA. This role is responsible for intellectual property, contracts, regulatory filings, legal research, and maintaining compliance across all company activities.
This job requires work in collaboration with other team members on a daily basis via Slack, email, and zoom in order to follow up on tasks closely with individuals, remind them of the agreements before the deadline arrives, and support people in order to guarantee the tasks are completed on time and on the scope.
Primary Responsibilities:
- Draft, review, and process legal agreements including NDAs, licenses, and partnerships with affiliates, in accordance with US 501c3 and Local compliance requirements, and maintain organized records.
- Provide guidance as needed to Tergar’s Contracts and Administrative manager in creating consistent agreements for vendors, contractors, and events.
- Manage trademarks and copyright applications. Liaise with attorneys on filings and renewals. Maintain records and ensure proper usage of IP assets.
- Oversee data privacy and GDPR compliance activities. Recommend strategies to meet regulatory obligations.
- Conduct research on non-profit legal and regulatory trends, best practices, relevant case law and strategies adopted by peer nonprofits. Summarize findings, identify potential impacts, make recommendations, monitor execution and collaborate on improvements.
- Scan industry events, news, and legal updates relevant to global non-profits. Build and manage relationships with non-profit- focused external lawyers, consultants, and peers.
- Build and maintain close relationships and collaboration between Admin, Community Building, Fundraising, and Product teams with regard to legal and compliance activities.
- Maintain records and files in compliance with non-profit legal requirements and IRS regulations.
- Maintain an up-to-date record of all of TI's international activities, and ensure alignment with US IRS 501c3 nonprofit exempt purpose compliance requirements.
- Advise on legal risks associated with global flagship events and operations. Research local laws and requirements.
- Assist with management of TI’s insurance portfolio, ensuring that sufficient cover is in place to cover all of our global activities.
- Maintaining an up-to-date list of international employment and volunteer compliance requirements and policies.
- Perform other legal administrative tasks and special projects as required.
Required Skills/Abilities:
- Good knowledge of non-profit regulations, contracts, and IP
- Excellent research, communication, and project management abilities
- Analytical thinker with strong conceptual and problem-solving skills.
- Sharp attention to detail and organizational skills
- Self-motivated with the ability to manage multiple priorities
Education and Experience:
- 3+ years experience in a legal role, preferably with global non-profits based in the USA
- Minimum of 2 years experience in a Compliance role (essential)
- Completed degree in risk management, law, or audit
