Description:
A Security System Supplier in Virginia and our family of companies are seeking a talented and motivated Inhouse General Counsel to join our corporate team.Primary Responsibilities:
- Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters
- Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations
- Review, draft, and negotiate a wide variety of other commercial agreements and amendments, including analytics, product integration, licensing, professional services, and other general vendor and operations agreements
- Create or update contract templates as our business evolves and grows
- Work closely with teams across Operations, Finance, Sales/Marketing and client support to ensure terms align with company objectives and priorities and train where necessary
- Advises on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities
- Help develop processes to ensure ongoing compliance with contractual commitments and provide practical, solutions-oriented advice to help Commercial Sales teams win
- Provide legal support related to employment, compensation and benefits matters for mergers, acquisitions, and other relevant transactions
- Serve as key legal advisor on all major business transactions, including partnering with outside firms on all acquisition activity, and corporate governance
- Collaborate with other departments as needed to ensure compliance issues are addressed, investigated, resolved and once resolved, continually adhered to in practice
- Respond to state/federal agency inquiries and complaints
- Advise management as to changes in applicable laws and regulations, and the effect of those changes on company practices
Basic Qualifications:
- Juris Doctorate degree
- Experience working on matters of corporate governance with a Board of Directors
- Experience with drafting and analyzing various types of business and vendor contracts.
- Experience working on labor law and human resource matters.
- Ability to balance legal risk mitigation against key business objectives and risks.
- Growth mindset with a strong desire to grow professionally, upskill, learn about new products, technologies and processes, and remain agile and adaptable.
Preferred Qualifications:
Preferred minimum 3-5 years' experience in a corporate legal environment
