JOB SUMMARY:
The In-House Counsel role is responsible for managing the legal portfolio of the company, while identifying and mitigating risk. This role will provide legal guidance on a variety of matters organization-wide, including a heavy focus on negotiating and managing client, vendor, and supplier contracts, reviewing and writing internal legal contracts, and handling other associated matters for the company. The incumbent will also provide oversight for litigation matters, customer complaints, and coordination of outside legal counsel.
PRIMARY RESPONSIBILITIES:
Contract Management
• Manages, reviews, and negotiates third-party, vendor, purchasing, and customer contracts.
• Oversees active and prospective supplier contracts; some of which include licensing, recruiter of brands, and supplier PD exclusive contracts.
• Evaluates the need for supplier contracts that we do not have today, and makes recommendations accordingly.
• Handles key contract callouts for customers, including tracking and updating stakeholders on key requirements, addressing renewal requirements, and identifying annual obligations/requirements within the contracts.
• Works with sales team to prepare contracts that are used for all customers and provides guidance regarding language/term modifications requested by customers throughout the process.
• Reviews and advises on cybersecurity policy, data privacy agreements, software licensing agreements, and various other Information Technology items, including internal company IT policies (data retention, information security, etc.).
• Manages real estate, building, and equipment leases.
• Reviews union contract and collaborates with human resources and outside counsel to best position the organization for contract renewals.
Litigation
• Acts as first point-of-contact for litigation matters, including lawsuits against the company, various class-action lawsuits, state and insurance claims (liability).
• Handles consumer complaints including coverage, consumer risks, product defects, replacements, and issues (Prop 65).
• Conducts legal research and reviews the company's litigation strategy pertaining to legal actions.
• Anticipates and identifies legal issues and counsels senior management in order to develop legal strategies and solutions.
General
• Oversees legal matters for the business, including acting as legal representative.
• Owns the internal legal budgets and makes recommendations for items that require outside counsel.
• Manages outside counsel and legal fees below aggressive targets.
• Oversees trademark registration, infringement, and intellectual property.
• Drafts and/or reviews NDAs for various company projects.
• Serves as a trusted advisor to the leadership team.
• Provides legal counsel and guidance to executives, senior management and the board on various matters such as legal rights and new/existing laws as they pertain to relevant business matters.
• Evaluates gaps in existing policies and/or practices.
• Identifies and mitigates risk; provides direction and oversight for dealing with potential issues.
• Proactively seeks solutions and better practices to mitigate risk.
• Maintains knowledge of the organization's operations and legal documents.
• Acts as the gatekeeper of incoming legal documents and controls related internal communication to the extent necessary.
• Handles statutory filings, such as licensing forms.
• Ensures compliance with local, state, and federal laws and regulations.
• Handles communications with external parties, including regulators and external counsel.
ESSENTIAL QUALIFICATIONS:
• Juris Doctor (JD) degree from an accredited law school is required
• Minimum of 5 years of proven experience as a general attorney or similar role
• Active license to practice law in the relevant jurisdiction(s)
• Strong knowledge of various areas of law, including but not limited to contracts, litigation, regulatory, workers compensation, general liability, licensing, and trademark
• Ability to develop and implement legal strategies and solutions
• Exceptional legal research and analytical skills
• Excellent written and verbal communication
• Strong negotiation and advocacy skills
• Ability to manage multiple projects and prioritize tasks effectively
• High level of professionalism and integrity
