Job Title: In-House Counsel, Diagnostics

Reports To: President, Diagnostics

Position Summary:

Responsible for drafting, negotiating, and managing a variety of commercial agreements, ensuring compliance with legal requirements for the Company’s Diagnostics Division. Position identifies and mitigates business and legal risks, while collaborating with cross-functional teams to support Company strategies.

Key Responsibilities:

• Draft, review, negotiate and interpret a broad range of commercial agreements with key partners and vendors, including Material Transfer Agreements, NDAs, Manufacturing/Supply Agreements, Statements of Work, Distribution Agreements (US and international), Material/Technology Licensing Agreements, and Quality Agreements.
• Maintain and update standard agreement templates with Company’s terms and conditions of sale.
• Ensure the Company complies with all applicable laws, rules, and regulations, which may include export compliance and medical device regulation.
• Monitor compliance and make recommendations regarding implementation of procedures or policies, including adoption of best practices, and communicate same to relevant stakeholders within Company.
• Identify and evaluate both business and legal risks and find creative solutions to mitigate them while achieving business goals.
• Partner with cross-functional stakeholders and business owners to achieve Company strategies and goals.
• Support Company paralegal.
• Co-manage administration of contracts in conjunction with Company paralegal, using proprietary contract management system.

Education:

• J.D. degree from an ABA-accredited law school, and a member in good standing of a state bar

Experience:

• 6+ years of relevant transactional experience gained in a law firm or as in-house counsel.
• Experience in life sciences, medical device or diagnostics sector strongly preferred.
• Experience acting as a strategic partner to business, procurement, finance, manufacturing, and other cross-functional teams required.

Minimum Requirements/Qualifications:

• Proficient in drafting, reviewing, negotiating, and overseeing a diverse range of commercial agreements and communications.
• Familiarity with intellectual property matters, particularly in relation to patents, trademarks, and their connection to existing and emerging trade secrets, patents, and product marketing strategies.
• Exceptional computer skills are a must, including expertise in Microsoft Word and familiarity with Excel; willingness to quickly adapt to contract management software.
• Possesses strong interpersonal skills, adept at effectively engaging with individuals at all organizational levels, as well as nurturing relationships with customers, vendors, and external legal counsel.
• Demonstrates outstanding written and verbal communication skills, with the ability to articulate recommendations and options clearly to all levels within the organization.
• Exhibits sound judgment, a problem-solving mindset, and a proven track record of business acumen.
• Capable of handling sensitive and confidential information with discretion.
• Self-motivated, with a proven ability to multitask, organize, and prioritize workloads effectively.
• Thrives both independently and as a collaborative team member.

The salary range for this position is $125,000 - $175,000, depending on location and experience.
