Position Summary:The Office of the General Counsel of A Private Research University is seeking an Assistant General Counsel who will provide support to the Office of the General Counsel in connection with representing the legal interests of the University in relation to diverse areas of the law, including contracts, technology, litigation, regulatory, not-for-profit governance, trusts and estates, real estate and tax-related matters.

Position Responsibilities:
Duties include:
- Drafting, reviewing and negotiating contracts and other business agreements
- Providing legal advice and guidance related to:
- intellectual property issues
- technology matters
- not-for-profit, tax-exempt and board governance issues
- education law
- real estate
- employment law
- election law
- Litigation:
- procurement contracts
- Analyzing statutes, regulations and procedures; as well as advising on compliance matters, academic and education law matters
- Supervising responses to requests for information and subpoenas and overseeing litigation handled by outside counsel
- Communicating independently with outside counsel and representatives of outside agencies
- Overseeing the work of legal interns
- Assisting with donor agreements and trust/estate matters
- Assisting the General Counsel and Associate General Counsels in connection with various matters under their direction and oversight
- Performing other duties as assigned
- Juris Doctor from an accredited law school 3-5 years of relevant experience
- Membership in the State Bar as an attorney qualified to practice law in New York state.
