Freelance Senior Corporate Paralegal

$30/hour (1099 contract position)

We are seeking Freelance Senior Corporate Paralegals for our Virtual Paralegal Service team. This is a 1099 remote/virtual position. The successful candidates must have an excellent working knowledge of all business entities from formation through dissolution and transactional work, including mergers, acquisitions, stock purchase, and asset purchase transactions.

Responsibilities and Duties

• Draft resolutions, consents, minutes, stock transfers, agreements, bylaws, articles, certificates, amendments, and affidavits for all types of business entities
• Prepare and file articles, withdrawals, amendments, qualifications, dissolutions, articles of merger, annual reports, business certificates and financing statements in all states
• Direct communication with clients and client advisors
• Comply with and understand company operations, policies, and procedures
• Keep confidentiality of client and client's client matters
• Perform other related duties as assigned

• Ability to delegate work to other team members and monitor the progress of tasks assigned

• Ability to manage workflow for multiple tasks and team members and problem-solve logistical issues that may arise

Experience
