JOB TITLE: Executive Director – Equity Private Placements

DUTIES: Position will prospect new clients for Equity Private Placement transactions; proactively coordinate with Relationship Managers, Corporate Finance, Corporate Investments, Rabo Research, Startup Innovation and other personnel to identify potential equity capital formation advisory opportunities in North America and Europe from within the Rabobank network; develop and maintain a network of potential investors primarily in North America and Europe, both strategic and financial, by leveraging internal resources and external ones; act as a point person and lead the execution of EPP transactions; coordinate internal and investor-related due diligence of the companies being considered for an EPP transaction; prepare call memos on prospects and investors, and update deal logs and pipeline reports; present the Rabobank EPP product to clients, relationship teams, and attend AgTech and FoodTech industry conferences and well as participate on panels and in forums; support Innovation Team in mentoring select startups by providing capital raising expertise and advice; negotiate engagement letters and coordinate transaction logistics appropriate to agent or advisory role for all related transactions; inform internal constituents of market development and actively market the team’s capabilities of precedents; comply with the code of conduct and bank policies and procedures; and, understand and comply with all laws, regulations, and internal policies and procedures that are applicable. 20% of Domestic and International travel required (to meet, market, and transact with potential issuers and investors).

REQUIREMENTS: Position requires a Master’s degree (or foreign equivalent) in Law, Business, Economics, Finance or a related field plus seven (7) years of work experience in the job offered or in an Executive Director – Equity Private Placement - related occupation. Experience must include the following:

• Demonstrable experience conducting Equity Private Placement transactions;
• Demonstrable experience developing and maintaining relationships primarily in North America and Europe with diverse investor base such as Corporate Clients, Corporate and Financial Venture Capitalist, or Private Equity and Hedge funds;
• Demonstrable experience in prospecting startups and corporations in North America and Europe;
• Demonstrable experience specifically with food tech and ag tech companies;
• Demonstrable experience preparing, reviewing and presenting transaction proposals and other deal summary memos to Business Selection Committees and senior management;
• Demonstrable experience tracking and analyzing developments for equity capital formation within private placement activities;
• Demonstrable experience monitoring existing portfolios for origination opportunities in various investment funds; and,
• Demonstrable experience in originating and executing transactions for corporate clients in both North America and Europe.

20% of Domestic and International travel required (to meet, market, and transact with potential issuers and investors).

Range of Pay: $226,762 to $272,000 per year
