Job description

Responsible for the overall management of Investor Relations activities and departmental function including maintaining relationships with potential and existing investors, M&A advisors, and analysts while ensuring the Company’s strategy is effectively presented and communicated. Responsible for the preparation and management of the Company’s annual shareholder meeting. Maintains and controls the Company’s stock related plans and oversight of Director and Executive related regulatory filings. Responsible for performing thorough evaluations of business line acquisition opportunities through analysis of potential acquisition targets and post-deal tracking. Performs inclusive competitive analysis, financial analysis, market analysis, performance analysis through various technology platforms and provides key support to Executive Management in solving high priority objectives. Responsible for the management and negotiation of key third party Company contracts (i.e. NASDAQ, Computershare, S&P Global, Inc., Intralinks, BoardEffect, etc.). Provides daily leadership and mentor support to accounting/finance department personnel. The Board Secretary works closely with the Chairman and CEO of the Board in the planning of all Company board meetings. The Secretary is responsible for the creation and timely distribution of the agendas and materials for all Board of Directors meetings. The Secretary is responsible for the accurate recording and distribution of meeting minutes. The Secretary is also responsible for managing the maintenance of governance policies and issuance of certificate of authority to officers and management throughout the Company. This role requires a high degree of skill and application of critical thinking in addition to ensuring confidentiality and confidential access of materials to certain individuals.
Responsibilities include, but are not limited to:
  • Manages the Company’s Investor Relations program and is responsible for development of materials and processes and the delivery and monitoring of related program initiatives including the Company’s stock plans.
  • Responsible for collaborating with internal department managers on the analysis, development and receipt of certain time sensitive reports. Analyze and recommend changes to the department managers when necessary.
  • Enforces policies, procedures and governance related to the IR program, certain related accounting functions, and Board Secretary related initiatives.
  • Serves as project leader of the Bank's mergers and acquisitions diligence team, management of external consultants and advisors, and participates in developing overall strategy, programs, objectives, and goals for acquisition opportunities.
  • Collaborates with the CEO, CFO, COO and Executive Management with matters of overall corporate direction and planning processes.
  • Manages certain aspects of the Company’s M&A process including development of projected acquisition project charges and synergy estimates.
  • Critical analytical analyses in a number of areas related to the overall management of the Company. (i.e. equity, capital, financial statements, forecast modeling, M&A modeling and review of agreement language, lending, branch operations, executive compensation, company stock plans, regulatory applications, Board Governance, Section 16, etc.).
  • Partners with the Chief Risk Officer on the development of certain aspects and submission of regulatory applications.
  • Directs and completes comprehensive financial and valuation modeling for acquisition opportunities.
  • Serves as project leader in equity capital raises and/or preferred stock conversions providing direct communication and issuance of shares to respective investors and receipt of funds to the Company.
  • Serves as primary point of contact for institutional and retail investors and equity analysts ensuring the Company’s strategy is effectively communicated.
  • Coordinates and attends investor calls, meetings and conferences with current and potential analysts and investors and present on Company related objectives and financial material during meetings.
  • Design and prepare key Company presentations and other communications materials for presentations to analysts, investors, potential acquisition targets, new hire personnel, and the Board of Directors.
  • Provides assistance in managing cross-functional teams for acquisition and divestiture processes including areas of due diligence (buy-side and sell-side), strategic fit, valuation, synergy identification, etc.
  • Handles the reporting and recording of all Company share repurchases, the deferred compensation plan, and dividend reinvestment transactions.
  • Files all SEC reporting requirements for the Company tied to section 16 filers (Form 3, 4, and 5).
  • Oversees the preparation and delivery of the Company’s annual meeting and special meeting processes, including the production of annual reports, proxy materials, and design of presentation slides.
  • Manages the Company’s dividend analysis and payout process to shareholders.
  • Management and administration of the Company’s stock plans and related materials.
  • Negotiates and maintains the key vendor relationships of NASDAQ, Computershare, and S&P Global, Inc., Intralinks and BoardEffect.
  • Completes modeling analysis and forecast of the Company’s consolidated revenue/expenses.
  • Provides annual competitive analysis and statistical review of Executive Compensation.
  • Acts as the Corporate Headquarters security officer ensuring appropriate measures and processes are completed and maintained.
  • Represents the Bank and provides leadership in key community activities and committees.
  • Participates in professional associations, attend conventions, conferences, and seminars.
Qualifications
Education/Experience:
  • Bachelor's degree in accounting, business administration or finance, with background in publicly traded financial institutions preferred.
  • MBA preferred.
  • Minimum of 10 years or more of related experience including banking, corporate M&A, private equity or investment banking.
Skills:
  • A solid understanding of financial analytics and tools to process and present large amounts of data covering the entire Company.
  • Must be able to apply critical thinking and analyses covering a number of areas within the Company to Executive Management.
  • A high level of analytical skills necessary to assess and evaluate merger and acquisition opportunities.
  • Proven ability to handle a high-paced work environment, to prioritize a heavy workload, to manage multiple assignments and processes by set deadlines.
  • Proven ability to work directly and confidentially engage with Executive Management, large shareholders, and the Company’s Board of Directors.
  • Motivated self-starter with experience in managing and coordinating the work and processes required to fulfill duties.
  • Participate in establishing financial goals, review legal opinions and merger related agreements, review and draft Company policies and detailed reports for the Board of Directors.
  • Ability to evaluate and think in a manner consistent with the long-term strategic goals of the Company.
  • Strong oral and written communication skills to effectively communicate the Company’s strategy is both internally and to outside analysts and investors.
  • Good human relations and management/organizational skills including the abilities to motivate and work with individuals across departmental lines.
  • A high level of interpersonal skills to communicate policies, procedures, and objectives effectively throughout the Company and to represent them positively to significant external publics.
  • Ability to successfully negotiate Company contracts with outside vendors.
  • Must be very proficient with the Microsoft Office Suite (Word, Excel and PowerPoint).
  • Must be technically savvy with the necessary skills to code/write and deliver accounting related financial reports through the use of third-party software (i.e. Axiom) to Executive Management.
