Job Title
Counsel, Real Estate and Corporate (Attorney)
Job Description Summary
The successful candidate for this position will have responsibility for providing legal support to Cushman & Wakefield's Corporate Real Estate Services team as well as the global Corporate Legal team. The Counsel will report to and support the Senior Corporate Counsel - Global Corporate and M&A and may also be requested to provide ad hoc assistance on and management of special projects as they arise. With 7+ years of legal experience at a major law firm, in-house environment, or a combination of both, with specific expertise handling (1) national leasing and subleasing transactions, including leasing agreements, AIA contract agreements and lease disputes and (2) general corporate matters, which may include corporate governance, legal entity management, M&A transactions and other various transactional matters. The successful candidate will have a strong background in Real Estate law and is a strategic thought leader who possesses business acumen and can manage the technical legal advice required to support C&W business partners efficiently and effectively across the nation, as well as serve as a counselor and partner to key business stakeholders. Demonstrated experience supporting sophisticated businesses lines is critical, as is an ability to manage third party advisers and work collaboratively in teams across geographies.
Job Description
Essential Job Duties:
  • Provide first chair legal advice on various complex Real Estate transactions, including Real Estate leases (including build to suit leases for corporate facilities), subleases, licenses and AIA contract agreements.
  • Draft, review and negotiate ancillary Real Estate documents, including amendments, assignments, extensions/renewals, terminations, master services agreements, SNDAs, personal guarantees and estoppels.
  • Advise on lease terms, conditions and potential risks and provide strategic recommendations to mitigate potential legal issues in various jurisdictions around the nation.
  • Handle disputes and legal matters relating to corporate Real Estate, including landlord-tenant or subtenant disputes, property damage claims, and other litigation matters, and develop strategies for dispute resolution and negotiate settlements when necessary.
  • Collaborate closely with the corporate Real Estate services business team in facilitating and overseeing Real Estate transactions, identifying risks and concerns while presenting potential alternatives and solutions to challenging business issues.
  • Assist with corporate matters, including corporate governance (e.g., corporate filings, entity management, Board materials, minutes, resolutions, consents), M&A transactions, and other general transactional matters.
  • Provide legal advice and support to internal stakeholders with respect to the legal policies and the legal implications of proposed transactions; maintain open communication and good working relationships with internal clients and affiliates and partners of the Company; ensure compliance with organizational policies.
  • Proactively set and execute legal strategies anticipating and addressing changes in laws, regulations and business environment to the advantage and benefit of the company.
  • Oversee and manage external counsel when appropriate.
  • Perform other related duties as required or requested.

Education/Experience/Training:
  • J.D. from a leading law school required
  • Bar admission in good standing
  • Requires 7 to 10 years of experience

  • Strong analytical and negotiation skills along with a high degree of initiative and self-direction to work independently and within a team.
  • Ability to work in a fast-paced environment, handle multiple, conflicting priorities while managing a substantial workload and client expectations.
  • Ability to present the unvarnished truth in an appropriate and helpful manner.
  • Exceptional communication and organizational skills with a keen attention to detail and accuracy.
  • Demonstrated customer/client focus.
