Description:
Position Summary:Reporting to An Asset Management Company's General Counsel, the Counsel, Head of Corporate Support will lead a team that handles corporate governance, corporate transactions, vendor contracts, cybersecurity, privacy, and other enterprise-wide issues.
This is a critical, hands-on, role in the firm and requires expert understanding of Corporate and partnership law, preparation and maintenance of Corporate records, contract negotiation, and other issues associated with operating a global business with many domestic and international subsidiaries. It requires the incumbent to contribute as a working manager and be a team player in executing any tasks required.
Essential Duties:
- Manage An Asset Management Company's corporate governance, including board meetings, written consents, and maintenance of Corporate records
- Advise executive leadership on corporate transactions
- Coordinate the review of all Firm contracts
- Coordinate how the Firm logs and tracks its contractual commitments
- Advise the Firm on cybersecurity and privacy matters
- Supervise one or more support staff
Required Qualifications:
- D. and member in good standing of one or more state bars
- 10+ years of legal experience, including handling corporate governance and corporate transactions
- Expert understanding of Corporate and partnership law
- Experience negotiating contracts and managing a contract review program
- Demonstrates strong leadership and influencing skills
- Detail-oriented, organized and professional
- A self-starter who is capable of managing multiple projects and meeting deadlines
- Excellent interpersonal skills; demonstrated success in building and maintaining strong internal and external relationships
- Excellent communication and presentation skills
- Strong organizational and time management skills; ability to effectively identify and prioritize the most critical tasks
- A service-oriented attitude, responsive to the needs of the business
- Ability to work in a sophisticated legal environment
- Exercises good judgment and maintains strict confidentiality
- A team player and collaborates effectively across all levels of the organization
Desired Qualifications:
The ideal candidate would also possess one or more of the following additional qualifications:
Working knowledge of international corporate law and international rules and regulations related to cybersecurity and privacy
