Duties:
-Prepare and file Articles of Incorporation/Organization, state qualifications, organizational and related documents.
-Assist with all stages of corporate formations/organizations, maintain all corporate documents.
Prepare Operating agreement, by laws, resolutions, org charts, ledgers, etc
- Prepare documents for transactions of sale and purchase properties, follow up all process of purchase or sale property together with title company, prepare timelines, searches and filings.
- File annual reports in states where corporations are incorporated and/or qualified to do business and maintains capitalization tables as well as stock and ledgers updated.
- Organize documents and closing books in connection with corporate and real estate transactions.
- Prepare reports and checklists and compliance reviews.
- Develop, monitor and update closings and corporate checklists, research and filings, maintain binders and manage matter files.
- Compliance and due diligence for corporate companies, such as economic substance, resolutions, etc.
- Prep of documents and correspondence.
- Dissolution and Restructure
Requirements:
- Proficiency in Portuguese and english
- Strong verbal and written communication skills.
- Prior experience in Corporate Services and entity managements.

Pay: $60,000.00 - $80,000.00 per month
