As we continue to build our team in support of our vision to the be the world’s best and most trusted mobility company, the Corporate Legal team is excited to announce the opening for a Corporate Records Director

 

The Corporate Records/Governance Director oversees the corporate governance and compliance activities of the global legal entities for Enterprise Mobility. This position develops strategic plans for the management and oversight of a broad range of corporate filings while monitoring and ensuring compliance with regulatory and statutory requirements. The Director of Corporate Governance/Records partners closely with the Legal, Finance, Risk Management, Tax and Treasury teams, as well as external service providers and among many others. 

 

This position is located at our Corporate Headquarters in Clayton, MO.

  • Drive the creation, renewal, maintenance, dissolution and restructuring of Enterprise’s global legal entities, including the preparation and/or filing of formation and governing documents, resolutions and written consents, statutory financials and annual compliance, director & officer appointments and resignations, and other Corporate Records for domestic and foreign subsidiaries.
  • Monitor and audit the legal entity management system data to ensure accuracy of all corporate information for the Company’s global subsidiaries, including registered address, ownership, directors and officers, powers of attorney, as well as dates of incorporation and expiration.
  • Oversee the development and maintenance of global corporate structure charts and subsidiary lists.
  • Engage, direct, and oversee third party legal entity service provider(s), local representatives and directors, and corporate agents within and outside the United States.
  • Provide expertise, advise and recommendations to senior Legal, Finance, Tax and Treasury teams on legal entities matters including intercompany agreements, internal restructurings, issuing powers of attorney, responding to KYC requests, M&A involving legal entities, and assisting with bank signatory appointments and removal.
  • Maintain knowledge of global laws and regulations, keeping abreast of changes to federal, state, and local legal requirements affecting corporate filings and licenses; recommend solutions for adherence to requirements and provide recommendations on needed actions. Propose strategies and long-term plans to ensure compliance with all regulatory and statutory requirements.
  • Direct the process of financial statement filing approvals, board documents, translations, and document execution as well as oversee the return of necessary documentation to applicable jurisdictions for filing.
  • Assume critical role in reviewing and interpreting various types of documents, including dealer license applications and renewals, lessor licenses, economic disclosure statements, and providing supporting documentation including background checks and fingerprints for internal stakeholders as well as coordinating subject matter experts to provide necessary documentation or evidence for such business needs.
  • Assess Corporate Secretarial vendors, negotiate services and rates, and collaborate with Risk Management regarding connected services, terms, and insurance provisions for such agreements and their amendments in the US and EU companies.
  • Manage a broad range of corporate filings and KYC documentation and provide feedback and guidance to Legal Group employees in the EU regarding Luxembourg domiciliation and secretarial agreements.
  • Review and approve annual reports’ credit card reconciliation for EHI and EFM.
  • Oversee the creation and maintenance of legal entity management resources, including the compliance database, templates, common terms and conditions, as well as standard responses to audit requests, EDS and RFP requests from the Groups.

Minimum:

  • Bachelor’s Degree
  • Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future
  • Eight (8+) years or more of corporate or law firm experience in contractual compliance protocols (or equivalent experience)
  • Seven (7+) years or more of legal entity management experience (preferably in a corporate legal setting)
  • Previous supervisory experience
