What's exciting about the role
- Assist with corporate governance matters, including drafting and maintaining corporate records, powers of attorney, and resolutions and minutes for board and committee meetings
- Prepare, proofread, file, organize, and maintain corporate records for more than 100 entities in more than 40 countries
- Coordinate signatures, notarizations, apostilles, seals, and chops on corporate documents
- Support corporate transactions, including mergers and acquisitions, due diligence, and entity formation and dissolution
- Lead a cross-functional team that regularly reviews the corporate entity structure and makes recommendations regarding entity formation, structure, and dissolution
- Judiciously engage outside counsel, corporate secretarial services, and other vendors and manage their costs
- Stay informed about developments in corporate law relevant to the company's business
- Work with other members of the legal team and the business on special projects and initiatives
- Identify and implement process and systems improvements
Skills and Experience we desire
- Bachelor's degree in paralegal studies, legal studies, or related field
- Paralegal Certificate
- At least 8 years of in-house experience as a Corporate Paralegal at a public or private multinational company based in the U.S.
- Strong understanding of corporate law principles and practices
- Well organized and dependable with attention to detail and commitment to accuracy, including ability to prioritize and multi-task effectively and work autonomously in a fast-paced environment
- Self-starter with the ability to manage matters independently while identifying issues appropriate for escalation to counsel
- Flexibly willing to work across different time zones
- Write and speak clearly and effectively
- Sound judgment with resolute integrity
- Proficient with Microsoft 365 Office products (including Outlook, Word, Excel, PowerPoint, and SharePoint), Adobe Acrobat Pro, and DocuSign
- While not required, some or all of the below would be beneficial for the role:
- Law-firm experience
- Notary
- Fluency in language(s) other than English
- Familiarity with CSCNavigator, Conga, and Legal Tracker (formerly Serengeti)
