Description:
The Corporate Counsel will be expected to deliver proactive, timely, and accurate legal, contractual, governance, and other advice and guidance for a publicly traded financial institution that markets and sells banking, investment, and insurance products and services.

Essential Functions:
- Serving as a key legal and strategic advisor, the Corporate Counsel will collaborate and communicate directly with business leaders across the enterprise to effectively manage legal risks while advancing corporate goals and objectives.
- Deliver proactive, timely, and accurate legal, contractual, governance, and other advice and guidance.
- Conduct legal research and analysis and advise on solutions to mitigate legal risk, and comply with regulatory and contractual requirements.
- Negotiate, prepare, interpret, and advise on contractual matters.
- Provide advice and counsel on corporate, labor and employment, and governance matters, and support planning and preparation around Annual Shareholder Meetings and public disclosures.
- Prepare customer and employee agreements and regulatory disclosures.
- Engage in litigation management, including legal holds management, insurance claim notification, and associated contingent liability disclosures of a public company.
- Prepare legal and governance documents like policies, procedures, bylaws, agendas, meeting materials, executive summaries, minutes, and corporate certifications.
- Champion and execute on process improvement recommendations that help to improve effectiveness and efficiencies of business units in mitigating legal risk.

Job Related Qualifications – Education and Prior Experience:
Required:
- Education: Juris Doctor Degree
- Prior Experience: 5+ years of Legal, and General Corporate experience
- Licenses or Accreditation: License to Practice Law in New York State
Preferred:
- Education: Juris Doctor Degree
- Prior Experience: 7+ years of Legal, General Corporate, Public Company and Banking Law experience
- Licenses or Accreditation: License to Practice Law in New York State

- Ability to handle complex matters and perform work with moderate oversight, keeping the Chief Legal Officer well-informed of workflows and elevating material matters for review and input.
- Ability to conduct thorough, reliable, and accurate legal research.
- Possesses sound judgment and analytical ability to identify trends, interpret data, conduct root cause analysis, and apply findings to workflows to deliver accurate, proactive, and strategic legal advice.
- Strong negotiation and advocacy skills.
- Strong organizational skills with the ability to manage multiple priorities and meet established deadlines.
- Highest degree of ethical standards, integrity and professionalism and ability to maintain strict discretion and confidentiality.
- Strong verbal and written communication skills and ability to interact positively with a wide variety of individuals; proven ability to work with senior management to solve complex problems.
- Strong experience level with all Microsoft Office applications including the ability to learn new and existing banking software.
- Management experience commensurate with assigning matters to and overseeing the work of external counsel and internal staff.

- Able to travel occasionally.
