We are currently looking for a Contracts Analyst/ Paralegal for our Houston, TX office.
POSITION DESCRIPTION:
The successful candidate will assist the Boardwalk Legal Department and its clients with various legal, corporate organization, and corporate secretary activities, and will report to the Assistant General Counsel. Representative duties include:
- Administering standard and non-standard contracts in accordance with company policies, legal requirements, and customer specifications.
- Assisting with contract processing by reviewing agreements, collaborating with attorneys on legal review, communicating and negotiating with contractors and suppliers regarding the contract terms, overseeing and facilitating contract execution, and delivering final documents to the appropriate parties.
- Assisting with new contractor qualification and onboarding.
- Assisting with various corporate governance and entity management activities performed by Boardwalk's Corporate Secretary, including:
- Drafting meeting minutes, records of actions, and other documents;
- Acting as custodian of corporate records, including meeting minutes and records of actions for boards of directors, committees, and member-managed entities, officer and director appointments and resignations, charter documents and state qualifications, and company operating agreements and amendments;
- Assisting in planning and noticing meetings and conference calls of boards of directors and committees, including coordination and distribution of meeting materials;
- Working with secretaries of state and the Company's registered agent to maintain current information on entities; and
- Responding timely to internal and external requests for information, documentation, and certifications
REQUIRED SKILLS, KNOWLEDGE, AND EXPERIENCE:
- A minimum of three years' experience working with contracts required. Experience in the construction or engineering field, the pipeline industry, and exposure to corporate governance matters preferred.
- Excellent organizational and time management skills.
- Excellent writing skills.
- Highly effective interpersonal/communication skills.
- The ability to work independently and as part of a team.
- A strong understanding of business relationships and confidentiality principles.
- Strong data interpretation, evaluation, error detection, and problem-solving abilities.
- Experience with Microsoft 365 (Word, Excel, PowerPoint, Outlook, Teams, SharePoint).

- Bachelor's Degree
PREFERRED EDUCATION:
- Paralegal Certificate
