We are seeking a talented and motivated Commercial Counsel who shares our values and goals, to join our Legal team and help fuel our turnaround. The best candidate is someone who is ready to roll up their sleeves and make an immediate impact. In this role, you will advise on inbound and outbound commercial contracting matters across the company- drafting, negotiating, and managing contracts. Reporting to our General Counsel, as part of a small legal department of a public company, the ideal candidate will also have an opportunity to add value to a wide variety of other legal areas and special projects as desired.
This position is a hybrid role working out of the Union, NJ headquarters Tuesday through Thursday and working remotely Monday and Friday unless the business dictates otherwise.
Responsibilities:

• Review, draft, and negotiate all types of commercial agreements, including sales, marketing, and vendor contracts.
• Support owned brands through trademark law knowledge.
• Assist on a variety of dispute resolution and matters.
• Provide pragmatic, business-minded guidance on all corporate legal processes (e.g. intellectual property, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents).
• Advise various business teams, People & Culture, IT, Finance, and other internal departments on legal issues and risks, complex agreement structure, approval processes, company policies and procedures, and business strategy.
• Develop support materials and provide trainings to educate internal teams on contract terms and other legal issues; support the continuous improvement and updating of standard form agreements, legal processes, and compliance practices.
• Research, anticipate and guard company against legal risks; stay up-to-date on relevant laws, regulations, and industry trends that may impact the company's business.

Required Skills & Competencies:

• J.D. degree and membership in good standing with the Bar of New Jersey or ability to qualify for Limited License; In-House Counsel.
• Minimum of 10 years of experience in commercial law, with at least 2 years in-house and with significant experience in a large and sophisticated corporate environment, preferably retail sector.
• Self-starter, able to take initiative and independently lead projects with little guidance.
• Ability to quickly adapt and make decisions in an ever-changing legal and business landscape.
• Ability to meet deadlines and work effectively and efficiently in a fast-paced environment.
• Team player who establishes effective working relationships with legal and business clients.
• Great communication skills (written and verbal).
• Strong attention to detail and accuracy.
• Excellent organization skills for large volume of work.
• Ability to prioritize multiple projects with constantly changing dates.
• Ability to produce a large volume of high-quality work.
• A quick learner who can handle increasing amounts of responsibility.

Salary Range: In Compliance with the New York City Pay Transparency Law, the base salary range for this role is between $170,000 - $230,000. This range is not inclusive of any Short Term Incentive or Long-Term Incentive programs. When determining a candidate's compensation several factors are determined including skillset, experience, job scope and current market data.
