Overview
Vanguard's Office of the General Counsel addresses a wide range of complex and compelling legal and compliance issues. To continue to support its growing business, Vanguard is seeking an attorney in its Funds, Advisors & Disclosures Legal Team. The person in the role of Associate General Counsel, Disclosure, will be responsible for continual review of registration statements for Vanguard's investment products, including managing comprehensive reviews and recommending amendments and updates as appropriate. Additionally, the person in this role will provide the organization with legal advice and representation on matters related to Vanguard's regulatory disclosures for investment products, consider and recommend disclosure changes related to the SEC's Tailored Shareholder Report Rule and the SEC's Names Rule, and liaise with the business on managing strategic risks through regulatory disclosure.
In this role you will ...

  • Manage a team of professionals. Hire, evaluate, and supervise crew. Provide guidance, training, and motivation as necessary to develop staff. Set performance standards, review performance, provide feedback, and make informed compensation decisions in accordance with all applicable Human Resources policies and procedures.
  • Serve as a trusted advisor and provide strategic leadership and positioning on Vanguard's regulatory disclosures. Work closely with other senior leaders to shape Vanguard's shareholder communication strategy. Establish and maintain collaborative relationships with key internal stakeholders to develop and advance such strategies and activities.
  • Provide business leaders with legal advice on issues impacting Vanguard's regulatory disclosures, investment product development, strategic initiatives, and other regulatory matters.
  • Ensure that all regulatory disclosures and disclosure policies and practices comply with all relevant laws and regulations.
  • Ensure that disclosure matters implicating areas across the company are adequately addressed, bringing those issues to the right people and where necessary, coordinating responses to ensure consistency across the organization.
  • Draft and negotiate legal documents, including regulatory filings.
  • Monitor, analyze, and direct Vanguard's response to legislative and regulatory developments related to Vanguard's regulatory disclosures and investment products to ensure they are adequately addressed.
  • Represent the organization in complex, controversial, significant, or specialized legal proceedings before courts, government agencies, or other authorities so the organization's interests are protected.
  • Where appropriate, select outside counsel to represent Vanguard and manage, coordinate, oversee and supervise the work being performed by such outside counsel; and review and evaluate outside counsel invoices.
  • Maintain a high level of expertise in regulatory law, Vanguard's business and products, and the investment industry. Stay abreast of industry and regulatory developments affecting Vanguard, and maintain affiliations with relevant industry, compliance, and risk associations.
  • Demonstrate judgment, creativity and technical expertise, breadth of vision and initiative, commitment and accomplishment, communication skills, and leadership in a manner expected of role models and leaders of the Office of the General Counsel.
  • Participate in special projects and perform other duties as assigned.

What it takes ...
  • Minimum ten years related legal work experience; supervisory experience preferred.
  • Undergraduate degree or equivalent combination of training and experience. Law degree (JD) required.
  • Preferred experience includes interpretation and provision of advice related to the Investment Company Act of 1940, the Securities Act of 1933, the Investment Advisers Act of 1940, SEC Form N-1A, and other SEC rules related to registered investment companies.
  • Demonstrated persuasion and influencing capabilities.
  • Ability to balance business and legal needs and manage multiple projects at one time.
  • Exceptional leadership, organizational and interpersonal skills.
  • Consistent track record of success serving and navigating relationships with internal and/or external parties, including influencing, counseling and negotiating with others.
  • Strong experience presenting to executive sponsors and demonstrated ability to communicate, influence, navigate, persuade and build agreement across senior leaders and/or a matrix structure.
