Position Overview
This Associate General Counsel role requires the ability to promptly identify commercial, regulatory/compliance and risk/reputation issues and implement solutions, provide commercial as well as legal advice, develop strong relationships with key stakeholders, and have the confidence to advise on issues that have significant business impact. The Associate General Counsel will particularly be responsible for negotiating, drafting, reviewing a wide variety of agreements both domestic and international, IP and DP matters. Reporting to the Senior Associate General Counsel - Commercial.
All duties are to be performed in accordance with Company and departmental policies, practices, and procedures. All Company Team Members are expected to conduct and carry themselves in a professional manner at all times. Team Members are required to observe the Company’s standards, work requirements and rules of conduct.
Essential Duties & Responsibilities
Negotiate, draft, review, advise on and approve a variety of agreements and contracts. Ensure that all contracts and commitments conform to the Company’s required standards, including anti-corruption, anti-money laundering, related laws and compliance guidelines.
Assist operational departments in translating the Company’s objectives into effective and enforceable contract language.
Apply robust commercial acumen in reviewing and stress-testing commercial deals.
Offer counsel on a variety of legal issues and develop solutions to complex legal questions. Prepare legal memoranda and research legal issues as necessary.
Assist Senior Associate General Counsel – Commercial with management of the group’s IP portfolio, including the registration and protection of trademarks and domain names (with assistance from external counsel and LVS Group Legal).
Support on all data protection matters including ICO notifications, standard contractual clauses and review of policies e.g. data retention.
Manage various projects and deadlines.
Manage external legal panel and associated spend.
Regular catch-up sessions with key stakeholders including business development, procurement, finance and tax, company secretaries as needed.
Keep abreast of legislative changes that may affect the Company and provide training to the business and wider Legal team.
Proactively work with Legal colleagues in the UK, Bulgaria and the US to ensure the effective sharing of good practice and a consistent risk approach.
Keep standard forms and precedents under review / updated.
Support committee and company decisions, even if unpopular.
Minimum Qualifications
Proof of eligibility to work in the UK.
At least 6+ PQE with commercial contract experience gained at a top-tier law firm; in-house experience a plus.
Excellent written and spoken communication skills, with strong drafting and negotiation skills.
Strong analytic and problem-solving skills.
Working knowledge of intellectual property, data protection and commercial contracting.
Must possess extensive knowledge of business and the ability to work collaboratively and communicate with the Company’s management team.
Ability to travel internationally.
Strong financial acumen and bottom-line orientation.
Strong interpersonal skills with the ability to build relationships and communicate effectively with the business and other team members of different backgrounds and levels of experience.
Flexible in approach and a willingness to take on a varied workload.
