Trading Counsel - Aramco Trading Americas

Aramco Trading Americas ("ATA") is seeking to hire Trading Counsel with expertise in physical commodity trading and shipping matters. The successful candidate will provide legal support for trading activities in the Americas, including:
review of structured hydrocarbon purchase and sale agreements and related logistic and financing agreements; support for pre-litigation dispute management on commercial and operational matters; and advice and counsel on legally compliant transaction structures.
The successful candidate will work closely with the ATA Commodity Desk Heads for Crude, Fuel Oil, Chemicals/Specialties, and Clean Products. This role will report to the ATA Chief Counsel and will work closely with other commercial, compliance and tax counsel at ATA and with other Aramco Trading counsel globally.
Responsibilities:

• Draft, review, and negotiate complex commercial contracts and general terms and conditions in support of ATA commodity desks, including master agreements, spot and term purchase and sale agreements, marine charterparty agreements, marine service agreements, broker agreements, letters of indemnity, nondisclosure and confidentiality agreements, parent company guarantees, and letters of credit
• Advice and counsel ATA Commercial and Operation teams on pre-litigation contractual disputes and incident response management
• Liaise, as appropriate, with cross-functional teams including Contracts, Credit, KYC, Operations, Risk Controls, Compliance and Finance in support of day to day ATA trading activities
• Advice and counsel on transaction structures to ensure compliance with relevant U.S. commodity laws and regulations, including Jones Act, OPA 90, OFAC, CFTC and Exchange requirements
• Prepare and deliver training on relevant commodity trading legal matters
• Manage outside counsel and related budgets
• Keep informed of and advise on new laws, regulations, and industry trends
• Take on any additional special projects and support Legal initiatives as necessary

Experience and Qualifications Required:

• JD degree with strong academic credentials
• An active license to practice law in the U.S.
• Minimum of 10+ years of legal experience; preferably 5+ years related to commodity trading in either private practice or in an in-house legal department
• Excellent written and oral communication skills
• Ability to precisely draft documents and legal guidance that is concise and digestible for a commercial audience
• Detail oriented, organized, and effectively able to manage multiple matters while balancing competing deadlines
• Capable of working independently, with others in the legal department, and across the company with non-lawyer stakeholders
• Must be able to work in an office environment located in downtown Houston, TX
