Responsibilities:
- Manage the Shareholder Services operations, including overseeing and administering shareholder records and ownership, and act as a liaison with the stock transfer agent.
- Manage the quarterly dividend process and other shareholder mailings.
- Assist with the preparation production and distribution of the annual proxy statement and other SEC filings (including Form 8-Ks and SEC reporting for officers and directors) and NYSE notifications.
- Lead the cross-functional planning of the Annual Shareholders Meeting, including managing certain vendor relationships and meeting execution.
- Lead Director compensation process, including payments, reporting and administration of compensation plans.
- Manage an electronic board portal for compilation and distribution of Board and Committee meeting materials.
- Lead director independence and related person transaction processes.
- Maintain compliance with NYSE requirements for certain governance-related matters.
- Assist with Corporate Governance deliverables, including research and director and officer questionnaires.
- Provide support for the Shareholder Services and Corporate Governance sections of Company website.
- Manage department budgets.
- Up to 10% travel may be required.
- Working outside of normal business hours required on occasion to meet the needs of our Board.
Minimum Requirements
· Requires a BA/BS in business or a related field
· Minimum of 9 years of public company shareholder services experience along with strong financial acumen; or any combination of education and experience, which would provide an equivalent background.
Preferred Skills, Capabilities, and Experiences
- Experience in shareholder services and corporate governance, including at a publicly traded company.
- Experience with public company Board meetings, shareholder meetings and shareholder interactions.
- Experience in business, finance or cost/budget and project management.
- Excellent attention to detail, organization and communication skills.
- Ability to handle and prioritize multiple tasks.
- Experience managing vendors, including service level compliance, invoice review and contract compliance.
- Proficient in Microsoft Word, Outlook, Excel, Adobe professional and Form 4 filing software (Workiva or any other brand).
- Ability to learn new software programs.
- Experience with proxy statements and SEC Forms 3, 4 and 5 for officers and directors.
