Job Summary
Arch Capital Services LLC is seeking a bright, agile, organized and experienced Senior Corporate Paralegal to join our legal team. The ideal candidate will have at least 5 years of experience working in a major law firm and/or a legal department of a publicly traded company. The Senior Corporate Paralegal will have the opportunity to become an important part of the General Counsel's Legal and Compliance team at a multinational publicly traded company.
Responsibilities
- Assist with legal entity management, including preparation and filing corporate documentation, such as articles of incorporation, bylaws, board and shareholder minutes, resolutions, consents, powers of attorney and statutory filings or certifications.
- Support entity management platform (Diligent or similar platform) and maintain organizational structure chart; respond to requests regarding entities, directors and officers.
- Support and assist attorneys with preparing and reviewing quarterly, annual and other securities filings with the Securities and Exchange Commission (10-Q, 10-K, proxy statement and Section 16 filings), and annual certifications and other notifications and reports with NASDAQ.
- Support other Legal and Compliance functions managed by the General Counsel's office, including corporate governance, general corporate contracts, contract management privacy matters, stock trading matters, other regulatory matters and M&A or other transactional activity.
- Assist General Counsel with coordinating the logistics of the Annual General Meeting (this includes working with Broadridge, transfer agent and proxy solicitor).
- Contract review for basic terms and conditions.
- Draft, review and manage quarterly legal reports and legal correspondence.
- Respond to information requests and direct requests to appropriate attorney.
- Manage Know Your Customer and other diligence requests.
- Conduct basic legal research of statutes and regulations and provide summaries.
- Assist with global signature requests, which includes collecting both wet and electronic signatures, and also may include arranging notary and apostille/authentication of documents.
- Assist with arranging meetings and organizing schedules of attorneys.
Education and Experience
- At least 5+ years experience working on corporate (non-litigation) matters at a major law firm and/or a legal department of a publicly traded company.
- Ability to simultaneously manage many tasks and pivot from one project to another as requested.
- Excellent communication (written and verbal), organization, and analytical skills.
- Ability to work effectively with senior officers and directors on a regular basis.
- Proficiency in Microsoft Office Applications.
- Proficiency with board software (e.g., Boardvantage) and other corporate organization software (e.g., Diligent Entities).
- Working knowledge of WDesk.
- Familiar with Schwab Equiview or similar stock plan administration platforms.
- Ability to work independently and collaboratively with individuals at all levels of the organization.
- In-house Legal Insurance/Reinsurance industry experience or financial services industry experience is beneficial.
- Paralegal certification is beneficial.
- B.A or B.S. degree.
For individuals assigned or hired to work in California, Colorado, Jersey City, NJ; New York State; and/or Washington State, the base salary range is listed below. This range is as of the time of posting. Position is incentive eligible.
$110,058 - $148,902/year
- Total individual compensation (base salary, short & long-term incentives) offered will take into account a number of factors including but not limited to geographic location, scope & responsibilities of the role, qualifications, talent availability & specialization as well as business needs. The above range may be modified in the future
