Summary:

The Sr. Associate General Counsel is responsible for counseling the business on a broad range of payment and regulatory matters with particular focus strategic payment initiatives, partnerships and innovation in payments. You will drive collaboration across legal, compliance, risk, and the business, including product managers, analysts and others, to elevate and build scalable and resilient products and services. The Associate General Counsel is accountable for always doing the right thing for customers and colleagues and ensures that actions and behaviors drive a positive customer experience consistent with Huntington’s values. While operating within the Bank's risk appetite, achieves results by consistently identifying, assessing, managing, monitoring, and reporting risks of all types.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

•    Reporting to the Deputy General Counsel, will be responsible for one or more members of a legal team representing the Segments including hiring, recruiting, development and coaching.
•    Works with business and tech partners to structure complex transactions with third parties, ensuring adherence to legal and regulatory compliances and offer advisory on information security related aspects.
•    Works with business teams to explore and evaluate new business opportunities in the payments space to help the teams understand regulatory compliance and to facilitate launch of any new products/ services.
•    Responsible for regulatory engagement and works with industry bodies to drive policy change initiatives and represent Huntington in regulatory and policy forums as appropriate; you will work closely with various teams including the public policy team for such matters.
•    Principal duties will include providing day-to-day advice, resolving issues that arise in existing commercial relationships, drafting and negotiating complicated payment, cobrand and other commercial agreements, and providing ongoing legal counsel on a wide range of legal areas including payment aggregation business, performing due diligence in legal matters concerning contracts, agreements, and mergers and acquisitions.
•    Areas of coverage could include supporting payments issues and initiatives in the  Consumer, Commercial lines of business .

MINIMUM KNOWLEDGE, SKILLS AND ABILITIES REQUIRED:

•    A minimum of 15 years of legal experience in financial sector (including experience at a leading law firm and/or in-house).
•    J.D. required.
•    Admission to a state bar.
•    Experience with payment providers, platforms, networks, and issuers; experience with merchant acquiring businesses; experience in payment regulation; experience with customer payments and experiences.
•    Ability to function autonomously yet communicates laterally and upwardly with ease.
•    Extensive experience and strong skills in drafting and negotiating contracts with large and small payments providers.
•    At least 5 years of management experience leading dynamic teams and building great talent preferred.  
•    Strong issue spotting, risk assessment, and problem-solving skills.
•    Extensive research and analytical skills.
•    Team building, leadership skills.
