Job Description

THE POSITION:
The Senior Paralegal is an integral member of the Legal & Compliance Department who works with other members of the department to provide legal assistance to support the company's needs. The Senior Paralegal will be confident and proactive in his/her approach, have the ability to work collaboratively and also be capable of working autonomously, and be comfortable with, and skilled in, interacting with attorneys, senior management, and the Board of Directors.

ESSENTIAL DUTIES AND RESPONSIBILITIES:


Our employees are tasked with delivering excellent business results through the efforts of their teams.  These results are achieved by:

  • Prepare, review and/or edit basic legal contracts and documents such as confidentiality agreements, initial and amended by-laws, articles of incorporation, charters, and other corporate documents.
  • Monitor changes to government guidelines or regulations and submit reports on pertinent changes.
  • Prepare and administer (in connection with HR) compensation materials including stock options and performance share award agreements.
  • Organize and maintain records for general corporate matters.
  • Draft Board and compliance committee meeting minutes, local registration or compliance documents for global subsidiaries in coordination with corporate secretary, management companies or registered agents.
  • Review and coordinate inter-company loan agreements in coordination with finance.
  • Support Board and committee work and coordination of materials for the Board and committee books for quarterly and special meetings. Generate first drafts of agendas and maintain Board and Committee action calendars.
  • Serve as the custodian of corporate legal documents.
  • Responsible for internal Legal Department contract management and filing system to ensure proper indexing and filing of legal documents.
  • Assist with business license filings for US third party logistics and pharmacy facilities.
  • Manage various Legal department vendors.
  • Demonstrate a commitment to diversity, equity, and inclusion through continuous development, modeling inclusive behaviors, and proactively managing bias. 
  • All other duties as assigned.

EXPECTIONS OF THE JOB:

  • Travel (minimal, maximum of two multi-day summits per calendar year)
  • Hours (40 hours, Monday through Friday)

Office: While performing the essential functions of this job the employee is frequently required to reach, grasp, stand and/or sit for long periods of time (up to 90% of the shift), walk, talk and hear; occasionally required to lift and/or move up to 25 pounds. The noise level in the work environment is usually moderately quiet, with frequent interruptions and multiple demands.

Qualifications

MINIMUM KNOWLEDGE, SKILLS AND ABILITIES:

The requirements listed below are representative of the experience, education, knowledge, skill and/or abilities required.

  • Bachelor's degree from four-year college or university
  • 10+ years in a corporate or major law firm setting OR a Juris Doctorate from an accredited law school
  • Experience with IP search tools, databases, and docketing systems
  • Advanced proficiency in Microsoft Office programs applicable to handling of corporate matters (Word, Excel, PowerPoint), as well as SharePoint
  • Meticulous attention to detail and strong organizational skills
  • Proactive and resourceful

PREFERRED QUALIFICATIONS:

  • Prior in-house experience preferred.
  • Corporate law experience preffered
  • Experience in the biotechnology, pharmaceutical, or life sciences industry preferred.
  • Experience with CLM, matter management, and e-billing preferred.
  • Industry recognized Paralegal Certification from organizations such as NALA or AACP preferred.

EVERSANA is committed to providing competitive salaries and benefits for all employees. The anticipated base salary range for this position is $97,000 to $136,000 and is not applicable to locations outside of the U.S.  The base salary range represents the low and high end of the salary range for this position.  Compensation will be determined based on relevant experience, other job-related qualifications/skills, and geographic location (to account for comparative cost of living).  EVERSANA reserves the right to modify this base salary range at any time.
