Senior Corporate Paralegal - Brookfield, WI

 

The Senior Corporate Paralegal will serve in a dynamic, fast-paced environment on the Corporate Legal team. This role would assist with all aspects of the legal function, supporting multiple attorneys in the legal department.

  

Essential Duties and Responsibilities:

This list of duties and responsibilities is not all inclusive and may be expanded to include other duties and responsibilities, as management may deem necessary from time to time.

 

  • Support Securities law compliance and the preparation of SEC filings (e.g., 10-Ks, 10-Q's, 8-Ks, Forms 4, proxy statements and other filings).
  • Assist in the administration of the company's insider trading policy, including managing trading windows.
  • Support corporate governance and compliance at the company and its subsidiaries.
  • Help prepare materials for Board meetings, and maintain corporate records and minute books for the company and its subsidiaries.
  • Serve as administrator and "super user" of the company's legal contract management platform, ensuring quality and accuracy of information.
  • Generate agreements (including contracts) from standard approved templates; review agreements for compliance with REV standards and policies.
  • Update and maintain contract template library based on input from lawyers and business teams.
  • Maintain and contribute to the legal team's intranet resources (including guidelines, policies, and procedures) for lawyers and internal business contacts.
  • Support the company's ethics and compliance program, including administration of the compliance hotline system.
  • Support management of company's intellectual property portfolio.
  • Support mergers, acquisitions and other transactions, including assisting in the preparation of documents, overseeing data rooms and supporting due diligence.
  • Assist in the administration of state-issued business licenses for the company and its subsidiaries.
  • Assist in the administration of the legal department, and provide administrative support to in-house attorneys.
  • Assist with managing outside counsel, including managing company's matter management and legal billing system.
  • Support the company's litigation management efforts, including supporting investigations and discovery, in areas such as intellectual property, product liability, breach of warranty, employment and general commercial litigation.
  • Assist with general corporate matters and other special projects or tasks on an as-needed basis.

 

Required Knowledge, Skills, and Abilities:

  • Excellent verbal and written communication skills.
  • Highest degree of integrity, discretion and confidentiality.
  • Thorough knowledge of legal principles and practices
  • Strong work ethic, good judgment and professional maturity
  • Well organized and detail oriented with an ability to prioritize in a fast-paced environment.
  • Strong technical and project management skills.
  • Enjoys interacting with others in a team environment.

 

Education and/or Experience:

  • Bachelor's degree from an accredited 4-year college/university preferred. 
  • Associate's degree or certificate program in paralegal studies.
  • 8+ years of experience as a paralegal in a corporate or law firm setting.
  • Relevant computer software experience such as MS Word, Adobe Acrobat, Excel, Power Point and legal management systems.
